About the Role:
The Corporate Counsel addresses a broad array of legal matters to support the company’s business, working closely with other members of the Legal team, as well as internal business clients. The role involves advising, training, and offering legal support to business clients, as well as drafting, reviewing, and negotiating various contracts.

Your Contributions (include, but are not limited to):
Provide clear and business-savvy legal advice and risk guidance to business partners and key stakeholders
Counsel on a wide range of corporate issues including interactions with business clients on cross-functional projects
Draft, negotiate, and advise clients on a broad range of legal and contractual matters to support the Company’s business, including but not limited to: clinical trial agreements, informed consent documents, research agreements, clinical supply agreements, consulting agreements, nondisclosure agreements, and distribution agreements
Review contracts and other legal documents, advising on appropriate legal actions
Develop and manage legal templates and procedures
Engage in activities such as licensing, collaborations, agency and third-party vendor contracting, and other routine business arrangements
Maintain strong relationships with business clients and third-party contracting parties to understand business requirements and ensure contractual terms align with the company’s priorities and policies
Provide legal support in the development of innovative services or products that differentiate the company
Mentor and supervise lower-level legal staff and/or lead indirect teams
Other duties as assigned
Requirements:
Juris Doctorate (JD) degree and 7+ years of practice as an attorney in a well-regarded law firm and experience with a life sciences company or a reputable, highly rated law firm with a focus on representing life science companies, or a combination of both
An active license to practice law in any state
Independently identify, analyze, and render legal advice on complex issues
Draft and negotiate agreements with clarity and precision
Deliver concise and accurate legal advice, anticipating follow-up questions
Build consensus with diverse stakeholders and third parties, forming strong collaborative relationships
Exhibit proficiency and/or expertise in general corporate matters, healthcare and regulatory compliance, drafting transactional documents and agreements, employment law, data privacy, risk management, and contract management
Possess strong corporate compliance and transactional experience, including contract drafting skills
Anticipate business and industry issues and recommend process/technical/service improvements
Demonstrate broad expertise and apply in-depth knowledge to improve team efficiency
Lead multiple teams and projects, demonstrating strong leadership and mentoring skills
Exhibit excellent computer, communication, problem-solving, and analytical thinking skills

Meet multiple deadlines with high accuracy and efficiency

The annual base salary we reasonably expect to pay is $202,300.00-$292,975.00. Individual pay decisions depend on various factors, such as primary work location, complexity and responsibility of role, job duties/requirements, and relevant experience and skills. In addition, this position offers an annual bonus with a target of 30% of the earned base salary and eligibility to participate in our equity based long term incentive program. Benefits offered include a retirement savings plan (with company match), paid vacation, holiday and personal days, paid caregiver/parental and medical leave, and health benefits to include medical, prescription drug, dental and vision coverage in accordance with the terms and conditions of the applicable plans.
