About the role:
This attorney will have dual primary responsibilities: to support Nintex’s domestic and international corporate matters and to provide day-to-day advice to assist in managing and mitigating labor and employment risks. This is an important position that will entail partnering with multiple functional areas within Nintex. Like all roles within our legal team, it requires collaboration with others but ultimately will entail direct work more than managing the work of others.
Your contribution will be:
- Provide corporate governance legal support for numerous global subsidiary legal entities in the tech industry, including:
- Preparing and managing documentation to support Board of Directors actions.
- Providing corporate support and oversight of corporate subsidiaries around the world through formations, dissolutions, drafting of governing documents, and jurisdictional filings.
- Organizing and maintaining corporate minute books, records, and files.
- Responding to internal and external KYC, UBO, and similar requests, including for annual financial audits
- Supporting the equity program (experience with Carta is a plus).
- Act as a key resource on governance matters, driving process improvements and innovative solutions that enhance efficiency and compliance.
- Collaborate closely with attorneys and non-lawyer professionals supporting the business to accomplish the required corporate governance activities
- Serve as the primary subject matter expert for employment globally.
- Provide advice, counsel, and legal review for labor and employment, benefits, immigration, and other related matters, including for prospective candidates, employees, and other workers, terminations, transfers, discipline, restructures, layoffs, and selection processes.
- Partner with cross-functional teams, including the Executive, Legal, and HR teams, to provide strategic, business-oriented, employment law guidance for successful execution of Company initiatives.
- Draft and support training on labor and employment or other related laws, rules, or regulations, and update and advise on any material changes in such laws, rules, or regulations.
- Work on labor and employment, employee benefits, immigration, and other related matters or projects, as necessary.
- Develop and implement employment policies to ensure best practices and compliance with applicable laws and regulations.
- Investigate and respond to federal and local administrative complaints, including local agency charges.
- Manage litigation related to employment matters and oversee and manage outside counsel globally.
- Provide guidance on governance and compliance projects, influencing best practices across the organization.
- Life-cycle legal support for strategic initiatives driven by Nintex’s strategy and corporate development team.
- Review, draft, negotiate and advise on a broad range of strategic transactions.
- Provide ongoing advice and counsel in connection with post-transaction integration.
- Support General Counsel in M&A and other corporate transactions, including debt and equity financings, including planning and assisting in due diligence and active involvement in deal process, diligence, integration, and execution.
- Provide regulatory / Antitrust compliance advice and counsel in connection with a wide range of strategic activities, initiatives and transactions.
To be successful, we think you need:
- JD from an accredited law school and a member in good standing with at least one U.S. state bar.
- The candidate must have at least 8-10 years of experience with either corporate or employment law, ideally with legal experience in both gained from a combination of private practice and in-house roles.
- The ideal candidate will have experience working closely with, and managing, outside counsel over the duration of projects and litigation matters.
- The position requires a confident and experienced attorney with a strong track record in managing a broad range of legal issues and interacting closely with business leaders.
- Strong oral and written communication skills are essential. In addition, the candidate must demonstrate the ability to exercise judgment and diplomacy while addressing sensitive or challenging issues with internal or external stakeholders, as well as an ability to think creatively and strategically.
- Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous matters.
- The candidate must have a demonstrated and proven ability to work well with senior business and operating executives, leveraging strong intellectual, conceptual, and analytical skills and be effective at building consensus among business leaders.
- Confidence to think quickly and able to give risk-adjusted, practical advice without perfect information. Skilled in breaking down ideas, projects, and problems and communicating solutions in terms that are relatable and understood easily without legal jargon.
- Excellent interpersonal skills with the ability to relate comfortably at all levels within an organization, and with diverse, international personnel from a variety of cultures and backgrounds.
- Significant in-house tech experience, or other experience demonstrating a thoughtful, business-minded approach to legal counsel is a real plus

Target Compensation Range (U.S. ONLY): $180,000 - $220,000 USD annually
On target compensation refers to the base salary and applicable variable target for this role. The range is an estimate, and base pay will ultimately be decided at the offer stage, based on an individual candidate’s skills and experience aligned with the needs of the role. Base pay may vary based on several factors including geographic location, role specific qualifications, and seniority. Nintex also offers a competitive benefits package including paid time off, twelve paid holidays, 401(k) with employer match, and more.
