Responsibilities
  • Serves as a legal contact for the Board of Directors, investor relations, financial reporting, treasury, accounting, tax, internal audit, and other departments on all matters related to securities and governance matters
  • Assists with fulfilling public company reporting and disclosure requirements, including SEC reports, proxy statements, and Section 16 filings
  • Provides support to the Board of Directors and the executive leadership team on governance- and shareholder-related matters, including preparation and review of materials for board and shareholder meetings
  • Identify and analyze legal issues, draft key documents, present clear recommendations, and provide legal advice and counsel on complex issues to minimize company exposure to liability or to ensure legal compliance with governmental rules and regulations
  • Represent & negotiate on behalf of the Company within specified practice area
  • Advise Company departments through complex legal issues within specified area of practice
  • Handle complex legal projects, evaluate and determine appropriate legal course of action to meet client needs
  • Assist the company’s General Counsel, Associate General Counsels, & Assistant General Counsels in overseeing the Company’s legal proceedings
  • Prepare and render legal opinions, draft legal documents, policies, resolutions, and reports on topics in area of practice
  • Analyze and interpret existing Company agreements to provide advice and guidance
  • Assist with the preparation and review of corporate filings, records, or shareholder communications
  • Stay current on legal practices by performing extensive law research and analysis
  • May perform other job duties as directed by Employee’s Leaders
