Requirements
  • At least 3-5 years of relevant in-house commercial legal experience, ideally at an emerging growth and/or SaaS platform company focusing on technology transactions and supporting sales teams coupled with relevant training at a reputable law firm.
  • A strong background in commercial negotiations, demonstrated through experience drafting agreements, negotiating a range of agreement types and appropriately calibrating and mitigating risks in a business-minded manner.
  • A deep understanding of relevant legal issues related to a SaaS-based business, including a working understanding of data protection requirements and applicable security principles.
  • Some experience handling (or a willingness and ability to learn about) other substantive areas that may require EMEA legal support, including employment; real estate matters; regulatory/compliance issues.
  • Ability to effectively prioritise and manage numerous projects and deals simultaneously under competing deadlines, having regard to Intercom’s principles of ‘incredibly high standards’ and ‘impatience’.
  • Exceptional communication skills (both written and oral) and the ability to explain complex ideas in a succinct and digestible manner.
  • Ability to build relationships throughout all levels of the company and comfort working remotely with Legal colleagues and other key stakeholders based in the U.S. and other global offices.
  • Currently admitted to practice in Ireland or the UK.
Responsibilities
  • Draft, review and negotiate various technology transactions and commercial agreements, primarily SaaS agreements (both based on Intercom’s terms of service and customer paper).
  • Lead the legal aspects of Sales negotiations and provide clear, practical legal advice to the Sales team in order to close deals.
  • Drive internal stakeholder collaboration across various teams (Sales, Finance, Product) to address points of negotiation with customers.
  • Act as a key point of contact to the Sales team for issues arising during RFP, contract negotiation and renewals, customer onboarding or other changes in the product releases and GTM function that may have implications for the way we interact with our customers.
  • Educate and advise internal business partners and other cross-functional stakeholders on contractual obligations, company policies and legal and regulatory requirements.
  • Stay up-to-date on relevant EU, UK and international laws and regulations, as well as industry trends that may impact the business, or have implications for our customer facing terms, and coordinate with Legal colleagues to help analyze and advise on meeting any changing obligations.
  • Help build scalable and effective legal processes and resources, including delivering training, developing guides/playbooks and creating new contract templates.
