Perseus Group Software Corp. is seeking candidates for the role of Associate General Counsel – M&A to support the Perseus Operating Group’s (“Perseus”) portfolio of vertical market software companies. Perseus, an operating group of Constellation Software Inc. (TSX: CSU), acquires and operates independently managed vertical market software companies worldwide, providing them with the strategic guidance and financial security they need to become leaders in their respective markets. This role offers the opportunity to join a growing international conglomerate and to be a catalyst for improvement in a dynamic and fast-paced environment. The Associate General Counsel – M&A will report to the General Counsel of Perseus and will provide legal advice and support to our M&A team and portfolio managers on business acquisitions located in the U.S., Canada, and internationally including but not limited to the U.K., Europe, and LATAM. The Associate General Counsel – M&A will collaborate with personnel in a variety of time zones.
Participate in and lead M&A for companies being acquired into the Portfolios, including the drafting and negotiation of M&A transactional documents related to Perseus business, such as purchase agreements, disclosure schedules, letters of intent and non-disclosure agreements, working with outside counsel as appropriate; leading legal due diligence with support from outside counsel as appropriate; leading legal aspects of due diligence and supporting management / business diligence.
Coordinate with portfolio counsels to manage and support all legal aspects of the transition and integration of new portfolio companies into their new portfolios during the integration process.
Support the legal team’s continuous improvement efforts to develop and refine playbooks, policies, templates, and processes; coordinate training and awareness activities to implement and improve adoption of processes and best practices.
5-7 years of relevant experience, preferably working with a large law firm and/or in-house legal department, including:
Providing pragmatic, business-minded legal guidance on a wide variety of corporate and M&A matters.
Experience working on and leading all aspects of M&A transactions, including conducting legal due diligence and assisting in and leading the drafting and negotiation of transaction documents.
Experience with software companies is a plus.
Self-motivated, practical, and willing to develop a business-minded approach to legal counseling, with a high sense of professional ethics, integrity and diplomacy.

Must have good research and strong time management skills.
Possess a strong working knowledge of Word, Excel, and other Microsoft Office programs.

Experience working with a global organization including, the U.S., Canada, and the U.K., and/or an acquisitive growth-oriented organization is a plus, and willingness to expand skill set to support additional international jurisdictions is a must.
Light travel is possible.
JD or LLB from an accredited Canadian law school is required.
Must be an active member in good standing in Ontario
