Requirements
  • 4+ years of relevant experience at a major law firm, advising public companies on securities law matters
  • Proficient knowledge of SEC and Nasdaq rules
  • Registered to practice in California or be eligible for Registered In-House Counsel (RIHC) status in California
Responsibilities
  • Prepare and review SEC filings, including Form 8-Ks, the proxy statement and related documents, Section 16 filings, Registration Statements (S-1, S-8, and S-3), and Forms 10-Qs and 10-Ks
  • Support Board and Committee meetings, including the drafting, preparation and review of Board meeting materials, minutes, and D&O questionnaires
  • Support Twist’s annual stockholders meeting
  • Support Investor Relations by reviewing press releases, earnings releases, investor presentations, and other materials
  • Advise on equity matters, including equity plan, and compensation issues
  • Ensure compliance with public company legal, securities, and governance requirements, and support the necessary controls, processes and procedures
  • Provide counseling, training and general legal advice to the company on securities laws and requirements, including periodic reporting requirements, Nasdaq listing standards, beneficial ownership reporting requirements, Regulation FD, related party transactions, and insider trading rules
  • Work independently but collaboratively in a fast-paced and collegial team environment
  • Demonstrate sound business and legal judgment, project management and prioritization skills
  • Support M&A and other strategic activities
  • Effective manage outside counsel as needed
