Curaleaf has formally launched its hostile takeover bid for Aurora Cannabis, offering $4 per share directly to shareholders. The offer represents a 45% premium on Aurora's 30-day average share price from 10 August, before Curaleaf announced its intentions. The proposed deal would create a combined company with a $3 billion market cap. Curaleaf projects approximately $40 million in annual cost synergies from the merger. The acquisition aims to give Curaleaf access to EU medical cannabis export markets, particularly Germany. Aurora possesses EU-GMP cultivation capacity that meets strict German import standards. Federal restrictions make direct cannabis exports challenging for US firms like Curaleaf. Curaleaf CEO Boris Jordan said initial friendly discussions with Aurora CEO Miguel Martin earlier this summer stalled, prompting the direct shareholder approach. Aurora's board has formed a special committee to review the offer.
Curaleaf Holdings reported second quarter 2026 revenue of $340 million, representing 10% year-over-year growth driven by domestic and international segments that grew 7% and 26%, respectively. International revenue reached $51 million. The cannabis company posted net income of $12 million and adjusted EBITDA of $70 million, reflecting a 21% margin. Gross profit margin stood at 50%. Chairman and CEO Boris Jordan said the results demonstrate the company's "Built for Growth" strategy is gaining traction. He noted this marks the second consecutive quarter of domestic year-over-year growth. Curaleaf ended the quarter with $107 million in cash and $611.5 million in outstanding debt. The company invested $32.9 million in capital expenditures during the six-month period, focused on facility upgrades and automation.
Curaleaf Holdings has opened its 75th dispensary in Florida, located in Boynton Beach. The cannabis retailer now operates 167 locations nationwide, with Florida representing nearly half of its retail footprint. The new store at 3575 W. Boynton Beach Boulevard is the company's sixth Florida opening this year. It offers medical cannabis products including Anthem pre-rolls, Dark Heart ultra-premium flower, and Select vaping products. Boris Jordan, chairman and CEO, said the opening reinforces Curaleaf's commitment to expanding access to cannabis products across Florida. A grand opening celebration is scheduled for 31 July and 1 August, featuring special promotions and giveaways. The dispensary operates 9:00 to 20:30 Monday through Saturday, and 10:00 to 18:00 on Sunday.
Curaleaf Holdings has become the first company to secure registration for standardised cannabis preparations in Spain under the country's new regulatory framework, Royal Decree 903/2025. Spain's medicines agency AEMPS approved two preparations — THC-dominant and CBD-dominant — developed by Curaleaf's Spanish manufacturing subsidiary. The registrations enable supply to hospital pharmacies, where the preparations can be used in magistral formulas under medical prescription. Royal Decree 903/2025, approved in October 2025, establishes Spain's regulatory framework for medicinal cannabis, setting production and quality standards. Curaleaf operates an EU-GMP certified manufacturing facility and R&D laboratory in Alicante. The company secured Spain's first licence to process medicinal cannabis derivatives for commercial distribution in May 2020. The preparations are expected to become available to patients through hospital pharmacies as Spain's regulated system develops.
Curaleaf Holdings has opened two new medical cannabis dispensaries in Florida, located in Jacksonville Beach and Fernandina Beach. The openings bring the company's Florida dispensary count to 73 and its nationwide total to 165 locations. The Jacksonville Beach location sits on Beach Boulevard along US Route 90, whilst the Fernandina Beach dispensary is positioned on South 8th Street along Florida State Road 200. Both stores offer Curaleaf's Florida-exclusive products, including Reef flower, Grassroots flower and Select Briq 2. Chairman and CEO Boris Jordan said the expansion reflects the company's strategy to strengthen its presence in Florida's medical cannabis market. Grand opening celebrations will take place at both locations in May, featuring live entertainment, promotions and giveaways.
