What believers are saying

  • Tempus agreed July 20, 2026 to buy Personalis for $16.25 a share.
  • June 2026 CE-IVD marking opened NeXT Personal specimen kits to EU and Great Britain trials.
  • Medicare expanded NeXT Personal coverage through May 20, 2026, including breast-cancer treatment monitoring.

What critics are saying

  • Shareholders still need approval; antitrust or financing issues can delay Tempus closing into 2027.
  • MRD reimbursement remains indication-by-indication; CMS reversals would crush Personalis' 2026 clinical revenue growth.
  • If Tempus walks, Personalis faces shrinking standalone scale, persistent losses, and takeover-whiplash attrition.

What makes Personalis unique

  • NeXT Personal detects ctDNA at single-digit ppm, beating less-sensitive MRD rivals in 2026 data.
  • Personalis pairs tumor-informed MRD with whole-genome profiling, spanning recurrence monitoring and biomarker discovery.
  • Stanford founders and Tempus' 2026 acquisition give Personalis unusually deep oncology and commercialization access.

Tempus to acquire Personalis for $1.5B, deepening bet on cancer diagnostics.

Tempus to acquire Personalis for $1.5B, deepening bet on cancer diagnostics. Tempus AI has agreed to acquire Personalis, a Fremont, California-based maker of molecular residual disease (MRD) tests, for $1.5 billion, the companies announced Monday. Under the deal, Tempus will pay $16.25 per share for Personalis' outstanding stock - about a 6% premium to Friday's closing price - with the option to settle up to half the consideration in cash. The transaction is expected to close in late 2026 or early 2027, pending shareholder and regulatory approval. The acquisition builds on a commercial partnership the two companies formed in 2023 to co-market Personalis' MRD test, which screens for cancer recurrence. Tempus CEO Eric Lefkofsky told investors Monday that an outright purchase was considered back then too, but Tempus opted for the partnership route since Personalis still needed years of investment before its test could scale. Personalis has since secured Medicare coverage for three indications, with more expected. The combination pairs two different MRD approaches: Personalis' tumor-informed test, which draws on a patient's own tumor sample, and Tempus' tumor-naive offering. Lefkofsky said volume has "shifted pretty dramatically" toward tumor-informed testing in recent quarters, though Tempus still plans to invest in its tumor-naive line. On the numbers, Personalis reported preliminary Q2 revenue of $22.4 million and delivered 10,384 tests, up 33% from Q1. Tempus, meanwhile, sold roughly 9,000 Personalis tests in Q2, up from 5,500 in Q1. The deal lands amid a broader industry rush into blood-based cancer diagnostics: Abbott closed its $21 billion Exact Sciences acquisition in March, Guardant's Shield colon cancer blood test recently won UnitedHealth coverage, and Freenome just reported strong pivotal-study results for its own colorectal screening test.

Tempus AI's $1.5B Personalis acquisition: why MRD is becoming a strategic battleground in cancer care.

Tempus AI's $1.5B Personalis acquisition: why MRD is becoming a strategic battleground in cancer care. Tempus AI's planned $1.5 billion acquisition of Personalis is more than a conventional diagnostics deal. It signals a broader shift in oncology: blood-based cancer testing is moving from an emerging technology category to a strategic platform for diagnosis, treatment selection, recurrence detection, and long-term monitoring. The deal comes amid accelerating industry momentum: - Abbott recently completed its $21 billion acquisition of Exact Sciences - Guardant's blood-based colorectal cancer test gained UnitedHealthcare coverage - Freenome advanced its pivotal study for blood-based colorectal cancer screening The strategic logic behind the Personalis acquisition is clear. - Building an end-to-end oncology platform Personalis' molecular residual disease (MRD) test could strengthen Tempus' capabilities across the cancer care journey, from diagnosis to recurrence monitoring. - Combining complementary technologies Personalis brings a tumor-informed MRD assay, while Tempus has developed a tumor-naive approach. The combination provides broader coverage across evolving clinical use cases. - Acquiring at the right point in market maturity Tempus initially partnered with Personalis in 2023 rather than acquiring the company, allowing the MRD platform time to develop clinical traction and reimbursement coverage. That strategy now appears increasingly validated. Personalis has secured Medicare coverage in three indications, while preliminary second-quarter revenue reached $22.4 million. Test volumes also rose 33% sequentially to 10,384. The larger takeaway? In oncology diagnostics, the next competitive advantage may not come from a single test; but from owning the data, clinical evidence, reimbursement pathways, and longitudinal patient insights that connect testing to treatment decisions. Tempus' move suggests the future of cancer diagnostics will be increasingly integrated, data-driven, and centered on continuous monitoring - not one-time diagnosis. #TempusAI #Personalis #LiquidBiopsy #MRD #Oncology #CancerDiagnostics #MedTech #PrecisionMedicine #Diagnostics #HealthcareInnovation #MolecularDiagnostics #Biotechnology

Tempus to acquire Personalis for $1.5B.

Tempus to acquire Personalis for $1.5B. Shares of both companies plunged following the announcement, which comes less than a year after Tempus acquired digital-pathology company Paige for $81.25 million. By Eve Bender | July 20, 2026 | 3:03 PM AI data company Tempus AI announced it will acquire cancer genomics company Personalis in a transaction valued at approximately $1.5 billion. The acquisition will integrate Personalis' molecular residual disease testing into Tempus' AI precision oncology platform. Under the definitive agreement, Personalis shareholders will receive $16.25 per share, primarily in Tempus stock. Tempus has the option to pay up to 50% of the consideration in cash. The purchase price represents a roughly 6% premium over Personalis' closing price Friday and a 28% premium over its unaffected 30-day volume-weighted average share price, according to the companies. Tempus already owns approximately 12.5% of Personalis. Shares of both companies fell sharply after the announcement. Tempus AI stock was down nearly 9%, while Personalis shares declined about 12% during Monday morning trading. The transaction is expected to close in late 2026 or early 2027, subject to approval by Personalis shareholders, regulatory clearances and other customary closing conditions. The boards of both companies unanimously approved the deal. Personalis' NeXT Personal platform uses whole-genome sequencing to create a personalized genetic signature of a patient's tumor. Blood tests can then identify circulating tumor DNA that may remain after treatment or return in the future. Molecular residual disease (MRD) testing is intended to detect traces of cancer that may be too small to appear on imaging. "MRD is a large and rapidly growing market with the potential to truly transform how cancer patients are monitored, helping clinicians make faster and more informed decisions when cancer recurs," Eric Lefkofsky, CEO of Tempus, said in a statement. Tempus said integrating the technology into its platform could help the company support patients from diagnosis and treatment selection through recurrence monitoring. The acquisition builds on a relationship the companies established in 2023. Under their agreement, Tempus began offering Personalis' tumor-informed MRD testing to pharmaceutical and biotechnology customers. The companies expanded the partnership in 2025, allowing Tempus to market NeXT Personal Dx for colorectal cancer. "We believe this transaction represents an exciting next chapter for Personalis," Chris Hall, CEO of Personalis, said in a statement. "Combining with Tempus gives us the scale, complementary capabilities and resources to accelerate innovation and deliver even greater value to patients, clinicians and biopharma partners." THE LARGER TREND In August 2025, Tempus acquired Paige, an AI-enabled diagnostic platform for oncologists and pathologists, for $81.25 million. The acquisition expanded Tempus' presence in digital pathology and added Paige's collection of digitized pathology slides, clinical reports and genomic data to its platform. Earlier that year, the company launched an AI-enabled personal health concierge app that allows patients to aggregate medical records and data from connected health devices. Tempus has also formed oncology-focused collaborations with pharmaceutical companies. The company partnered with Pfizer to apply AI and machine learning to cancer drug discovery, clinical-trial matching and companion diagnostics.
