Job Summary

We are seeking a Senior Paralegal who will support public company securities and corporate governance matters. This is a unique opportunity to work closely with a variety of key stakeholders, including in-house attorneys, Treasury, Tax, Accounting, Investor Relations, Communications, HR, Legal Operations and business functions. Hybrid work schedule with three days in the office.

Essential Functions

• Supports public company securities and corporate governance matters
• Prepares SEC filings, including 10-Ks, 10-Qs, 8-Ks, and annual proxy statement
• Involved in planning and logistics for annual stockholders’ meeting
• Prepares and distributes materials for public company Board of Directors and Committee meetings via board portal and maintenance of portal
• Maintains corporate governance policies, records and filings
• Supports day-to-day management of general corporate governance matters for subsidiaries
• Recommends and implements new processes and procedures to increase group efficiency and organization
• Maintains corporate legal function checklist
• Assists with special projects, mergers and acquisitions, regulatory and general corporate matters

Typical Education

• Bachelor’s degree or paralegal certificate (ABA approved)

Typical Range of Experience

• Typically has 5-8 years of relevant corporate paralegal experience, including law firm and in-house public company experience supporting securities and corporate governance matters

License or Certification

• Paralegal certification
• Certified as a notary public (or eligible to obtain certification)

Pay Range: $33.60 - $59.74 hourly

This hiring range is a reasonable estimate of the base pay range for this position at the time of posting.  Pay is based on a number of factors which may include job-related knowledge, skills, experience, business requirements and geographic location.
