First Citizens BancShares raises $300M in 7.5% perpetual preferred stock

First Citizens BancShares has raised $300 million through a public offering of perpetual preferred stock. The bank issued 300,000 depositary shares at $1,000 each, with net proceeds of approximately $297 million after underwriting costs. The Series F preferred stock pays a fixed 7.5% annual dividend until September 2031, after which it converts to a floating rate tied to the five-year Treasury rate plus 2.894%. The stock is perpetual and non-cumulative, with no required redemption date. The offering adds $300 million in Tier 1 capital but creates a senior claim ahead of common shareholders on dividends and liquidation. If First Citizens misses a full quarterly dividend, it generally cannot pay dividends on or buy back common stock during the next period. The underwriting syndicate included Morgan Stanley, BofA Securities, J.P. Morgan Securities, and Wells Fargo Securities as lead bookrunners.

Vantage secures $2B credit facility to fund North American data centre development

Vantage, a global digital infrastructure provider, has closed a $2 billion financing facility to support early-stage development across its North American platform. The five-year revolving credit facility includes an initial collateral pool of three development assets, with the option to add more over time. The facility aims to provide committed capital as demand for data centres continues to grow, strengthening Vantage's ability to fund projects and deliver capacity quickly. Evercore and Wells Fargo Securities served as lead arrangers for the transaction, which included a dozen insurance and institutional investors. The facility is part of Vantage's broader capital strategy. The company has closed more than $40 billion of capital this year to support global growth and diversify funding sources.

Wells Fargo upgrades Synopsys to 'Overweight' with $475 target, citing AI demand

Wells Fargo analyst Joe Quatrochi upgraded Synopsys to "Overweight" with a $475 price target, suggesting nearly 20% upside potential. The electronic design automation company's shares have fallen about 25% from their year-to-date high. Quatrochi cited accelerating demand in artificial intelligence and advanced semiconductor design automation for the upgrade. He expects the company's upcoming Analyst Day on 30 September to serve as a catalyst, with management likely outlining long-term growth initiatives and strategic progress. The analyst views Synopsys's current price-to-sales ratio of approximately 10x as attractive following the recent pullback. In its latest quarter, the company reported revenue of $2.48 billion, up 42% year-on-year, with earnings per share of $3.91.
