Nasdaq to acquire LeveL Markets, third-largest US ATS executing hundreds of millions of shares daily

Nasdaq has entered a definitive agreement to acquire LeveL Markets, one of the leading Alternative Trading Systems in the US. The move advances Nasdaq's strategy to provide institutional-grade solutions for always-on markets as traditional and digital markets converge. LeveL Markets operates the third-largest ATS in the US by trading volume, processing hundreds of millions of shares daily across more than 7,000 symbols. The platform serves over 300 institutional buy-side firms and reaches more than 2,500 clients. Average daily volume grew 56% year-over-year in 2025. Following the acquisition, LeveL Markets will operate within Nasdaq's newly formed Digital Liquidity Networks organisation, led by Roland Chai. The platform will maintain its dedicated management team and continue as a registered ATS under FINRA oversight. The transaction is expected to close following regulatory approvals. Nasdaq settles long-running patent dispute with Miami International Holdings

Nasdaq and Miami International Holdings have settled a patent dispute that began in 2017. A court dismissed all related claims with prejudice, confirming Miami International Holdings can operate its exchanges without restriction or a Nasdaq licence. The resolution removes a long-running source of legal uncertainty for Nasdaq. It allows the company to redirect management time and legal resources previously allocated to the case towards its core exchange and technology operations. The court outcome limits Nasdaq's ability to use patents as a competitive tool against rival exchanges. Six Nasdaq patents were invalidated by the Patent Trial and Appeal Board during the litigation. The settlement arrives as Nasdaq reported second-quarter 2026 revenue of $1.5 billion and net income of $507 million. The company continues investing in AI-powered platforms and cloud-based trading technology.
