Requirements
  • J.D. degree with strong academic credentials and member in good standing of at least one state bar.
  • At least two years of experience drafting, negotiating, and providing guidance on a wide variety of technology transaction agreements.
  • Great judgment, attention to detail, interpersonal, and communication skills.
  • Enthusiastic, hard-working, empathetic person, who enjoys collaborating with many teams (departmental as well as cross-functional).
  • Strong work ethic and the highest level of integrity and business ethics.
  • Positive demeanor and a good sense of humor.
  • Ability to self-start and work independently.
  • Desire to take on greater responsibilities as skills are developed.
  • Must be eligible to work in the US without sponsorship from an employer now or in the future.
  • Understanding of cloud and software industries, including SaaS model, and a strong desire to work on tough legal issues in these areas preferred.
  • Experience in drafting and negotiating vendor, non-disclosure, partnership, license, and other transaction agreements preferred.
  • Familiarity with basic revenue recognition rules preferred.
  • Working knowledge of Microsoft Word and Excel, Slack, G Suite, Gmail, DocuSign, and Salesforce preferred.
  • Demonstrate passion for OpenGov’s mission of powering a more effective and accountable government.

Responsibilities
  • Negotiate customer contracts.
  • Develop a progressive understanding of government procurement.
  • Review and negotiate vendor, partner, and other contracts leveraging strong negotiation skills to secure favorable terms and conditions for OpenGov while maintaining positive relationships with all parties involved.
  • Demonstrate excellent communication skills both internally and externally.
  • Provide legal advice and guidance to internal stakeholders on legal matters.
  • Conduct thorough reviews and analysis of contracts to identify potential risks, ambiguities, and discrepancies that may impact the organization's interests and document the same.
  • Continuously improve internal templates and legal processes to create efficiencies across the function.
