Requirements

Responsibilities
  • Support the business on legal aspects of product development, fund structuring, and fundraising, including concept development, structuring, fund marketing, fund documentation, investor onboarding, and closings.
  • Build working relationships with stakeholders across the business and act as a trusted legal and commercial partner.
  • Cooperate with Marketing, Investor Relations, fund teams, and Research to develop new fund products and define fund structures and key fund terms.
  • Create or manage databases and overviews of fund key terms, investor feedback, and relevant legal and market knowledge.
  • Anticipate legal and regulatory market developments, educate business teams, and develop product ideas based on those changes.
  • Lead the process of drafting and agreeing term sheets and structure charts with relevant parties.
  • Set up project plans and schedules for fund formation.
  • Advise on fund structures based on target investor types, jurisdictions, and target-asset characteristics, in collaboration with tax teams and external legal and tax counsel.
  • Advise fund teams on Sustainable Finance Disclosure Regulation categorizations and the LaSalle Net Zero Pathway.
  • Advise and support Marketing and Investor Relations in creating global marketing materials, including flyers, pitchbooks, and pipeline decks.
  • Draft and review legal sections of INREV DDQs and investor DDQs.
  • Lead project management for fund formation and fund launches.
  • Lead preparation of key legal documents, including term sheets, private placement memoranda, limited partnership agreements, and subscription documents, with external counsel.
  • Support fund-structure setup with regional legal teams and external service providers, and coordinate and review constituent documents with external law firms.
  • Coordinate fund launches with internal and external parties.
  • Lead and organize investor negotiations, including side-letter negotiations and potential limited partnership agreement amendments.
  • Coordinate comments and amendments internally with fund, legal, compliance, tax, AIFM, risk, finance, and other relevant teams.
  • Coordinate investor onboarding with tax, compliance, and investor services teams through an online platform.
  • Support preferential-treatment disclosure documents with external counsel.
  • Coordinate closings of mandates and funds, including required resolutions and board meetings on a global basis.
  • Coordinate the most-favored-nation process and review the MFN booklet.
  • Advise on the application of new legislation and regulations and implement required changes across fund documentation.
  • Support restructuring of existing funds and reclassification of Sustainable Finance Disclosure Regulation categories in response to market, regulatory, and tax developments.
  • Advise portfolio and fund managers on the ongoing operation of products, including interpretations of fund documents for live transactions, refinancings, and investor requests.
  • Serve as an internal resource and gatekeeper for legal queries and house-standard terms, providing guidance based on precedent language and market practice.
  • Negotiate and review service-provider agreements, including distribution agreements with third-party distributors and placement agents.
  • Advise the employee co-investment team on legal and regulatory aspects of the employee co-investment program, including structuring, documentation, and ongoing compliance.
  • Manage new employee co-investment offerings, prepare offering documents, and assist with onboarding employees.
  • Assist with transfers, redemptions, and subscriptions relating to existing employee co-investment offerings.
  • Assist with issuing carried interest or team-share points, including preparing and executing related documents.
  • Manage relationships with LaSalle’s panel of outside counsel to ensure timelines and budgets are met and precedent documents and market best practices are used.

LaSalle Investment Management has secured over £300 million in additional capital from a longstanding local authority pension fund client. Once fully deployed, this mandate will bring total assets under management across the client's portfolios to £1 billion. Since early 2024, LaSalle IM has completed seven asset sales and three acquisitions for the pension fund, focusing on inflation-linked, long income assets. Hang Lung Group and its Hang Lung Properties unit have ended a more than seven-month wait for a new chief executive, as retail veteran Leo Tsoi steps in to lead the Hong Kong-listed investment firm and its developer subsidiary. Also on the move, Blue Owl Capital, which backs data centre operator Stack, has named a new head of Japan and The Living Company has named a new head for its open-ended core fund. Hang Lung Group and Hang Lung Properties have named Toys "R" Us Asia chief executive Leo Tsoi as their next CEO, according to a company announcement, ending more than seven months of uncertainty regarding the group's leadership. Tsoi, 56, joins Hang Lung 7 September as CEO-designate before taking over 1 October from Weber Lo, who steps down after eight years, but remain engaged as an advisor to chairman Adriel Chan. Having led Toys R Us Asia for the past three years, Tsoi is also a veteran of more than a decade at Starbucks China, where he scaled the chain from 600 to 6,000 stores, and earlier PepsiCo and Procter & Gamble. Blue Owl Capital has hired Takeo Ikemori as head of Japan institutional capital, according to a company announcement, to co-lead its Tokyo office alongside Yoichi Nakamura, head of Japan private wealth.
