The deal aligns with T1's goal of achieving more than 60% domestic content in its modules from 2027. The agreement supports T1's strategy to position its US manufacturing capacity as a solution to trade and tariff uncertainty for utility-scale customers. It also reinforces Clearway's commitment to American manufacturing. T1 recently completed a $120 million private placement of senior unsecured convertible notes to fund its G2_Austin build and capacity expansion. The company remains loss-making and dependent on continued financing access and policy support. Analysts project T1 could reach $1.7 billion in revenue and $172.7 million in earnings by 2029, requiring 24.7% annual revenue growth.
T1 Energy has entered into note purchase agreements for a private placement of $120 million in 4.75% convertible senior notes due 2031. The offering is expected to close on 31 July 2026, with notes maturing on 1 August 2031. The company will use proceeds to fund construction and development of infrastructure and purchase production line equipment for Phase 1 of its G2_Austin solar cell fabrication facility, as well as for general corporate purposes. T1 Energy described the proceeds as a bridge to broader financing for remaining Phase 1 capital expenditures.
