The Counsel will play a critical role in supporting internal teams such as Treasury, Corporate Development, Investments, and Accounting. This position will be in charge of preparing, reviewing, and negotiating a broad range of legal documents, including agreements, offering materials, and other documentation pertaining to M&A, finance, and investment transactions. The Counsel will provide strategic legal guidance and recommendations on relevant laws, regulations, and compliance matters related to these transactions.
Prepare, review, and negotiate various agreements, offering materials, and other documents related to M&A, finance, and investment transactions.
Advise and provide recommendations on applicable laws, regulations, and compliance matters related to M&A, finance, and investment transactions.
Assist in managing the legal and compliance aspects of due diligence for M&A, finance, and investment transactions.
Support the process of making securities law filings related to finance transactions.
Manage outside legal counsel, as well as internal legal specialists and paralegals, on work related to M&A, finance, and investment transactions.
Prepare and review agreements for M&A, finance, and investment transactions, including NDAs, term sheets, acquisition/divestiture agreements, consulting agreements, vendor agreements, transaction checklists, loan agreements, receivable financing agreements, prospectuses, and investment documents, typically based on NVCA model forms.
Stay informed on new laws and regulations relating to M&A, finance, and investments, and provide recommendations to ensure compliance.
Continue assisting in managing the legal and compliance aspects of due diligence and securities law filings related to finance transactions.
Oversee the management of outside counsel and internal legal teams on M&A, finance, and investment transactions.
5+ years of experience in M&A, finance, and investment transactions, gained through law firm or a combination of law firm and in-house settings, with significant experience drafting, negotiating, and managing complex transactions.
Experience in structured finance, securitizations, securities laws, and corporate governance is highly preferred.
Excellent writing and communication skills, with the ability to assist non-legal audiences in understanding complex legal and regulatory concepts and requirements.
Solid judgment, business acumen, and analytical skills.

Ability to present and advocate for ideas in a clear, professional manner.
