Requirements
  • A university degree in business, finance, economics, law, risk management, or a related discipline is required; an advanced degree and/or relevant professional designation is considered an asset.
  • At least 8 years of progressive experience leading enterprise risk management, risk governance, risk framework, regulatory, compliance, control, or related functions and strategic initiatives within a large, complex, regulated organization.
  • Deep knowledge of risk management frameworks and governance practices, including Risk Management Frameworks, Three Lines of Defence, Effective Challenge, Risk Appetite, and related methodologies.
  • Strong knowledge of Canadian and U.S. regulatory expectations, governance requirements, and supervisory practices applicable to large financial institutions.
  • Demonstrated experience designing, implementing, and evolving enterprise-wide risk management frameworks, methodologies, standards, governance practices, or related strategic initiatives requiring enterprise-wide governance, regulatory oversight, and cross-functional alignment.
  • Proven ability to provide strategic advice and influence senior executives, governance committees, regulators, and stakeholders across multiple business lines, jurisdictions, and functional areas.
  • Strong understanding of the interrelationships between strategy, risk appetite, governance, risk management, organizational effectiveness, and business performance.
  • Demonstrated ability to identify systemic issues, drive enterprise-wide alignment, and lead complex cross-functional initiatives with significant organizational, regulatory, or strategic impact.

Responsibilities
  • Lead the Risk Framework function within the Risk Governance & Strategic Risk team.
  • Translate evolving regulatory expectations and enterprise strategy into Risk Management Framework design and application.
  • Align the Risk Management Framework to enterprise and Combined U.S. Operations strategy, risk appetite, and growth priorities.
  • Identify opportunities to enhance and integrate Risk Management Framework coverage across enterprise and U.S. structures.
  • Provide authoritative advisory and interpretation on the Risk Management Framework and core methodologies, including Three Lines of Defence, Effective Challenge, and Material Entity.
  • Maintain Risk Governance architecture, including core constructs and application requirements.
  • Administer the Risk Management Framework Material Entity framework, including population refresh, opt-in management, and entity-level governance alignment.
  • Drive consistent application of the Risk Management Framework across the three lines of defence, the enterprise, jurisdictions, and Material Entities.
  • Align priorities across Risk Governance & Strategic Risk team functions and drive coordinated execution of U.S.-relevant activities through embedded and dual reporting relationships.
  • Deliver a consolidated, enterprise-wide view of Risk Management Framework effectiveness across enterprise and U.S. coverage.
  • Identify systemic themes and cross-cutting issues to inform Risk Management Framework enhancements.
  • Promote and support the Bank’s risk culture by ensuring employees understand their accountabilities for risk-taking activities, promoting open communication and effective challenge, and establishing the tone from the top through leading by example.
  • Drive simplicity and productivity enhancements and continuous improvement across groups.
  • Develop leaders, plan for succession, and foster a high-performance culture.
  • Drive top talent acquisition and retention and develop organizational capabilities.
  • Lead and mentor a team with diverse risk and business experience, skills, and orientation.
  • Identify and escalate U.S. matters with a material impact for Risk in Business Performance, Risk, Legal, Regulatory and Compliance, Talent Management, and Technology & Operations.
  • Contribute to sustaining the U.S. Governance Model within Risk, including information flow and escalation through appropriate U.S. governance channels.
  • Participate as a member of U.S. management committees as instructed.
  • Lead and participate in LOB or Corporate Function leadership forums, developing and using key metrics and details from across Risk.

Bank of Montreal issues $1B AT1 capital notes at 7.375% interest rate

Bank of Montreal has priced a USD 1 billion offering of Additional Tier 1 Limited Recourse Capital Notes, Series 7. The notes will carry a 7.375% annual interest rate, paid quarterly, until November 2036, after which the rate will reset every five years based on the 5-year US Treasury Rate plus 2.579%. The LRCNs will mature on 26 November 2086, with an expected closing date of 16 September 2026. BMO may redeem the notes, subject to regulatory approval, starting from November 2036 on any quarterly interest payment date with 10 to 60 days' notice. The proceeds will support general banking purposes and are expected to qualify as Additional Tier 1 capital for regulatory purposes. BMO Capital Markets, Barclays, Citigroup, Goldman Sachs, Morgan Stanley, and UBS are joint book-running managers for the offering.

BMO sells 138 US branches to First-Citizens Bank for $5.7B in deposits

BMO Financial Group has completed the sale of 138 branch locations to First-Citizens Bank & Trust Company. The branches are located across North Dakota, South Dakota, Wyoming, Nebraska, Kansas, Missouri, Oklahoma, Idaho, and selected locations in Minnesota, Oregon and Illinois. Under the agreement, First-Citizens Bank acquired approximately $5.7bn in deposit liabilities and $1.1bn in loans. The deal, first announced in October last year, forms part of BMO's strategy to reallocate capital towards markets with stronger client engagement and growth prospects. BMO plans to expand its presence in Western US markets, adding over 130 new sites in California and about 15 in Arizona. This would increase its California footprint by more than 50%.
