Responsibilities
  • Monitor, interpret, and assess changes in federal, state, and local employment laws and regulations, and ensure timely compliant updates to firm policies, practices, and procedures.
  • Serve as the subject matter expert on firm human resources policies and procedures, providing guidance to human resources, leadership, and other stakeholders.
  • Act as the primary liaison with the Office of General Counsel on human resources compliance matters, including risk assessment and mitigation.
  • Develop, maintain, and govern human resources compliance documentation with strong document control, versioning, and audit readiness.
  • Lead the development, implementation, and communication of human resources policies, procedures, and related guidance materials.
  • Ensure policies and practices are consistently applied and aligned with legal requirements and firm standards.
  • Maintain a comprehensive calendar of human resources compliance obligations and develop and manage project plans for timely execution.
  • Recommend, plan, and lead internal audits of human resources processes.
  • Lead special projects related to human resources compliance, risk mitigation, and policy development.
  • Oversee the development, implementation, and ongoing administration of mandatory human resources compliance training programs, including harassment prevention and workplace conduct training.
  • Monitor completion, tracking, and certification of required training programs.
  • Partner with internal stakeholders to update training content in response to legal changes, policy updates, or identified risk areas.
  • Manage and produce human resources compliance reporting, including collaborating with internal and external partners to prepare and submit required statutory filings such as EEO, VETS, and pay data reports.
  • Generate compliance, audit, training, and human resources metrics reports for leadership review.
  • Monitor and report on compliance-related activities and emerging risks.
  • Partner with Human Resources Technology and Reporting, Payroll, and Benefits teams to ensure Workday time and absence configurations align with firm policies, procedures, and regulatory requirements.
  • Identify gaps or inefficiencies and recommend programmatic or system-based solutions to strengthen and scale human resources compliance processes.
  • Keep human resources leadership and key stakeholders informed of compliance status, risks, and progress against established plans.
  • Remain apprised of strategic firm initiatives and align human resources compliance priorities and action plans with overall firm goals.
  • Promote a positive, respectful, and compliant workplace culture aligned with firm values.
  • Perform other duties, tasks, or projects as assigned.

DLA Piper has advised PFR Ventures on the establishment of Innovate PL FoF, a new fund of funds investment platform that will deploy funds into high-growth and innovative Polish businesses through private equity, private debt and venture capital funds. The fund's capitalization reached nearly EUR400 million at first closing. The Innovate PL FoF has been established within the Innovate Poland programme, which brings together public and private capital on a comprehensive scale. The Innovate PL Fund of Funds represents a landmark initiative aimed at channeling significant institutional capital into the Central European investment ecosystem. By targeting allocations across private equity, private debt and venture capital strategies, the fund is positioned to support the growth and development of the region's most promising businesses and fund managers. Cendana Capital, a seed venture fund-of-funds, engaged DLA Piper to develop a template limited partnership agreement (LPA) for emerging venture managers. Cendana regularly invests in managers raising their first institutional fund, a stage at which fund documentation is often underdeveloped. Cendana identified this initial institutional raise as an optimal moment to implement a balanced, investor-friendly partnership agreement and, through this initiative, aims to support emerging managers by offering a template designed to streamline fundraising and reduce legal negotiation. 2. Evolution of equity-only participations in rated product structures. The alternative assets industry continues to see an explosion in rated product structures - including rated funds, rated feeders, and collateralized fund obligations (CFOs) - driven primarily by the desire of regulated investors (such as insurance companies) to gain exposure to new asset classes in a capital-efficient, investment-grade format that offers more favorable risk-based capital treatment than direct equity investments in private funds. As sponsors struggle to find consistent sources of equity-only participants in these structures, equity participants with informed outside counsel are increasingly able to negotiate bespoke and highly favorable terms that can meaningfully enhance the risk-return profile of what is already a levered position in the capital structure. In May, the Institutional Limited Partners Association (ILPA) released new guidance aiming for sharper transparency and tighter cost control around fund formation, introducing a three-part framework that could reshape expectations for general partners (GPs) and limited partners (LPs). The proposal calls for 1) a hard cap on organizational expenses at the lower of five basis points of assets under management or $10 million, 2) fifty-fifty cost sharing on any amounts above that, and 3) legal-fee transparency, including calling for rate schedules and draft budgets to be shared upfront with LPs. As LPs digest ILPA's new framework, GPs may wish to prepare for more scrutiny and discussion with investors around fund formation costs. For more, please read DLA Piper's full alert. 4. Are continuation funds worth their salt? It looks like continuation funds - when a fund manager sells assets from one fund that it manages to another, instead of selling such assets to unaffiliated third parties - are here to stay. While institutional investors still have mixed responses to continuation transactions due to the questions they pose with respect to conflicts, valuation, and alignment between LPs and GPs, the proliferation and potential profitability of continuation funds signal that they could be the new normal.
