Requirements
Juris Doctor (J.D.) from an accredited law school; admitted to practice and in good standing in at least one U.S. jurisdiction.
5–10 years of relevant experience, with a strong focus on negotiating commercial transactions, preferably in a corporate, in-house role
Deep understanding of contract law, risk allocation, and negotiation strategy
Excellent communication and interpersonal skills with the ability to influence and advise business stakeholders at all levels
Experience using AI productivity tools (e.g., Microsoft CoPilot, ChatGPT, etc.) is required
Experience supporting B2B technology or SaaS contracts strongly preferred
Strong business acumen and a pragmatic, solution-oriented mindset

Responsibilities
Draft, review, negotiate, and create a wide variety of commercial agreements, including IT consulting and delivery, SaaS, licensing, vendor, contractor, reseller, partnership, and professional services agreements
Advise internal stakeholders on contract structure, risk allocation, regulatory implications, and dispute resolution
Lead deal negotiations from start to finish, collaborating with Sales, Services, Delivery, Finance, and Operations teams
Develop and maintain templates, playbooks, and contracting processes to improve efficiency and ensure consistency
Provide legal support for go-to-market initiatives, and international expansion
Stay informed on legal developments impacting commercial and technology transactions.
Support contract lifecycle management optimization and related workflow automation initiatives.
Utilize AI tools and platforms generally utilized by Perficient and the Legal department to perform various aspects of the duties of the position
Support the Legal department in other legal matters as required, including corporate, intellectual property, employment, tax, real estate, and data protection matters
Assist with implementation of department policies and procedures to enhance productivity and streamline operations

Ability to lead or manage contract administrator team within the Legal department (if seniority warrants)
We currently have a career opportunity for a Senior Corporate Counsel to join our team located in St. Louis, MO or Chicago, IL.
The Senior Counsel – Commercial Transactions will play a key role in Perficient’s Legal department, providing expert legal guidance and support for a broad range of commercial transactions, including transactions with strategic partners, clients, contractors, vendors, and licensors. This position will partner closely with all of Perficient’s corporate functions and departments - including Sales, Services, Delivery, Marketing, Human Resources, Finance/Accounting, and Procurement - to structure, draft, and negotiate agreements and complex contractual engagement structures that drive business growth while managing enterprise risk.
The Senior Counsel – Commercial Transactions will ensure compliance with applicable laws and regulations, support contract operations improvement initiatives, and help optimize legal processes in alignment with Perficient’s strategic goals. This position will be required to interact with and provide experienced transactional guidance to members of Perficient’s executive and senior leadership teams on a regular basis, and excellent communication skills and the confidence and ability to engage at such levels are requirements for this position.
This position will also be required to interact and partner with internal stakeholders in all corporate departments and to engage with external and opposing counsel in complex commercial negotiations. This position will have the opportunity to be involved with other, non-transactional legal matters as assigned by the General Counsel. Depending on the seniority and experience of the successful candidate, this position may manage all or some aspects of Perficient’s contract administrator team within the Legal department.

The salary range for this position takes into consideration a variety of factors, including but not limited to skill sets, level of experience, applicable office location, training, licensure and certifications, and other business and organizational needs. The new hire salary range displays the minimum and maximum salary targets for this position across all US locations, and the range has not been adjusted for any specific state differentials. It is not typical for a candidate to be hired at or near the top of the range for their role, and compensation decisions are dependent on the unique facts and circumstances regarding each candidate. A reasonable estimate of the current salary range for this position is $125,000.00 to $200,000.00.
