Smith+Nephew acquires Integrity Orthopaedics for $225M plus $225M in performance payments

Smith+Nephew has acquired Integrity Orthopaedics for an initial $225 million cash payment, plus up to $225 million in performance-based payments over five years. The deal strengthens Smith+Nephew's sports medicine portfolio with the Tendon Seam rotator cuff repair technology. Founded in 2020, Integrity Orthopaedics developed the innovative system to address high failure rates in traditional rotator cuff repairs. The technology uses patented micro-anchors and continuous suture designed to deliver stronger repairs and lower re-tear rates. Early clinical results show reduced pain and shorter recovery times. The rotator cuff repair market performs approximately 500,000 procedures annually in the US, valued at $875 million. The acquisition, expected to close by end of January 2026, will be financed from existing cash facilities and is expected to be accretive to trading profit margin by 2028.
