Requirements
  • Be an attorney qualified to practice law in at least one U.S. state.
  • Have excellent academic credentials, including a law degree from a reputable law school.
  • Have 7+ years of experience practicing as an attorney with a top law firm or public company legal department, or a combination thereof.
  • Have experience working on periodic reporting and disclosure, including Forms 10-K, 10-Q, and 8-K, and/or proxy statement drafting or review.
  • Have familiarity with Section 16 reporting and insider-trading compliance concepts, including 10b5-1 plan workflows.
  • Have working knowledge of corporate governance frameworks, including exchange listing standards, governance documentation, and board and committee practices.
  • Have excellent interpersonal skills, business judgment, strategic thinking, a strong work ethic, and a team-oriented approach.

Responsibilities
  • Support the preparation, review, and filing of the company's Securities and Exchange Commission filings and reports, including Forms 10-K, 10-Q, and 8-K.
  • Support the annual proxy statement and annual shareholders meeting workstream, including coordinating inputs, conducting internal reviews, and providing drafting support as needed.
  • Support Section 16 compliance for directors and officers, including Forms 3, 4, and 5 coordination and review support.
  • Help administer insider-trading compliance processes, including trading windows and blackouts, pre-clearance, and 10b5-1 plan administration and review workflows.
  • Partner cross-functionally with Finance, Accounting, Investor Relations, Human Resources and Executive Compensation, Corporate Communications, Tax, and Treasury to support public-company disclosure and governance needs.
  • Support legal entity management tasks and routine subsidiary governance, including minutes and consents, officer and director updates, and registered-agent or statutory-representative coordination.
  • Support Board and committee processes, including preparing and reviewing presentations, consents, and resolutions, and assisting with meeting logistics and minutes where appropriate.
  • Assist with corporate governance maintenance, including periodic updates to governance documents and policies such as committee charters and governance guidelines.
  • Provide legal support to Treasury on corporate finance and bank-related matters, including letters of credit, guarantees, intercompany loans, and bank KYC support, while coordinating inputs among internal stakeholders and outside counsel.
  • Contribute to process improvement through templates, checklists, playbooks, and training materials supporting recurring Securities and Exchange Commission, governance, and entity workflows.
  • Handle special projects as requested.
