Requirements
  • Education: Successful completion of a Juris Doctor degree from an accredited law school
  • Bar Admission: Active membership in good standing with the bar association of the state where practicing
  • Experience: A minimum of 8 years of experience as a corporate and securities attorney, with significant exposure to public company matters. Prior in-house experience at a biotech or pharmaceutical public company is strongly preferred
  • Communication Skills: Excellent written and verbal communication skills necessary to communicate with all levels of management
  • Analytical Thinking: Excellent analytical and problem-solving skills, including making recommendations and exercising judgment
  • Strategic Vision and Collaboration: Ability to align legal strategies with business objectives, contributing to the company's growth and success, and ability to work collaboratively and cross-functionally with internal teams, external advisors, and stakeholders
  • Attention to Detail: Meticulous attention to detail and a commitment to accuracy in legal research, documentation, and compliance
  • Adaptability: Agility to adapt to changing legal and regulatory landscapes, while remaining current with industry trends and best practices; Time management and organizational skills necessary to independently manage many matters, appropriately prioritize workload, and plan for resources to meet deadlines and goals
Responsibilities
  • Provide support on required filings, including the company's Annual Report on Form 10-K, proxy, 10-Qs, 8-Ks, Form 4s and review corporate communications as necessary to ensure compliance with all governing disclosure rules and regulations
  • Prepare registration statements for financings and equity incentive plans on Forms S-3 and S-8
  • Manage Section 16 filings (Forms 3, 4, and 5) and prepare, update beneficial ownership for Section 16 filers, obtain SEC codes, and maintain records for Section 16 filers
  • Manage Nasdaq listing applications and other required notifications
  • Provide counsel on corporate governance and disclosure matters to internal colleagues and management, including Finance, Investor Relations and Human Resources
  • Provide counsel on board governance topics, including board policies and guidelines, meeting preparations, and material generation
  • Support compliance with the Company's Insider Trading Policy
  • Assist with analysis for conflict of interest, related party transactions, and director independence
  • Provide support with respect to 10b5-1 trading plans and related SEC disclosures
  • Help to monitor, oversee, and improve the company's SEC and other public disclosure processes
  • Assist Stock Administration with equity plan compliance and implementation
  • Assist with US and non-US equity issuance and ESPP compliance
  • Help to coordinate press release required for inducement grants
  • Assist HR with the review and preparation of benefit programs and annual review from legal aspects
  • Provide legal support to Tax, Treasury, Investor Relations, Press Release and Corporate Finance
  • Provide support on various types of transactions (e.g., mergers& acquisitions, equity financing, strategic transactions), including drafting, negotiation, and on-going guidance on implementation
