Responsibilities
- Leading strategic transactions for the Company, including debt and equity financings, mergers and acquisitions, corporate and project finance, joint-ventures and partnerships
- Managing the deal process from start to finish, including working with outside and internal counsel and cross-functional teams, drafting and negotiating transaction agreements, managing due diligence and closing
- Partnering closely with and advising Finance, Corporate and Business Development Teams and other functions across the Company to effectively achieve strategic Company goals
- Helping to develop and manage best-in-class corporate governance, including relationships and agreements with investors and shareholders
- Working with other attorneys on the Legal Team to advance customer relationships and negotiation of customer agreements and amendments
- Supporting employee equity and liquidity programs, including equity issuances and secondary share sales
- Leading the Company's corporate and securities compliance, as well as, overseeing compliance with and management of Company's existing and future commercial and financing agreements
- Resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries
- Assisting with other matters as may be necessary from time to time
Desired Qualifications
- JD degree and membership in at least one state bar is required
- 12+ years of experience practicing law, inhouse experience preferred
- US and Global transaction experience
- Excellent communication and collaboration skills
- Ability to prioritize and manage multiple projects at once
- Exceptional analytical, communication, and leadership skills
