Requirements
  • German law qualified lawyer with 10+ years of post-qualification experience in a law firm and/or in-house financial services legal department.
  • Strong understanding of corporate law, banking law, and the financial services regulatory regime applicable in Europe.
  • Excellent communication skills in German and English, with the ability to impact and influence senior colleagues.
  • Ability to work collaboratively and independently, drive matters forward, and represent the Legal & Compliance Division.
  • Ability to tackle new areas of law without prior experience.
  • Ability to proactively organize, prioritize, and manage multiple tasks.
Responsibilities
  • Advise the Management Boards and Supervisory Boards on corporate law and governance-related matters, including market practices relating to board operations.
  • Provide legal coverage for ad hoc strategic projects, new business initiatives, and transactions impacting the MSESE Group, including corporate, regulatory, and governance aspects.
  • Provide advisory support to members of the Management Board on ad hoc issues.
  • Work with Regulatory Relations to support Firm Management on regulatory supervisory matters and requests.
  • Manage the provision of advisory support to the MSESE Group Finance division, working with Treasury and the Finance policy team.
  • Advise on regulatory interpretation issues relating to capital, liquidity, and other prudential regulatory requirements, including their application to transactions, products, and structures.
  • Advise on the preparation of funding documentation and changes to funding arrangements resulting from evolving regulatory guidance.
  • Advise on relevant capital issuances, restructurings, ad hoc transactional arrangements, and Firm initiatives.
  • Advise the MSESE Group Operations division on legal and regulatory issues relating to cash and securities settlement, tax, position services and corporate actions, payment services, and client money.
  • Advise on legal and regulatory change relating to custody, financial market infrastructure, and operations generally.
  • Work with the Firm’s US Bank Legal team to coordinate legal and regulatory advice relevant to MSESE Group business activities.
  • Assist with advice on commercial contracts, outsourcing, real estate, and human resources matters as required.
  • Monitor and advise on the implications of regulatory change in Germany.
  • Provide support and guidance to specialist teams across the wider EMEA and/or global legal division, including Litigation, Employment Law, and Technology & Sourcing.
  • Report directly to the MSESE Group Head of Legal.

Fortis prices $1B subordinated notes due 2057 with 6.625% and 6.875% coupons to refinance debt

Fortis Inc. announced on 9 September 2026 the pricing of a $1 billion public offering of junior subordinated notes maturing 30 March 2057. The issuance comprises two $500 million tranches with coupon rates of 6.625% and 6.875%. The St. John's, Newfoundland-based regulated electric and gas utility holding company plans to use net proceeds to repay maturing debt and support general corporate purposes. Closing is expected on 21 September 2026. The firm commitment offering is managed by a syndicate including Morgan Stanley, MUFG Securities Americas, Wells Fargo Securities, and BofA Securities as joint bookrunners. Fortis reported $12 billion in revenues in 2025 and held $79 billion in total assets as of 30 June 2026.

Ameren prices $900M junior subordinated notes offering due 2057

Ameren Corporation announced the pricing of a public offering of $900 million in junior subordinated notes due 2057 at 100% of their principal amount. The transaction is expected to close on 18 September 2026. The notes will bear interest at an annual rate of 6.45% from issuance until 15 March 2032. After that date, the rate will reset every five years based on the Five-Year Treasury Rate plus 1.868%, with a floor of 6.45%. Ameren intends to use the net proceeds for general corporate purposes, including repaying short-term debt. Barclays Capital, BofA Securities, J.P. Morgan Securities, Morgan Stanley, MUFG Securities Americas, Truist Securities, PNC Capital Markets, and Scotia Capital are joint book-running managers for the offering.
