Requirements
  • Completion of a law degree.
  • Five or more years of corporate or commercial legal experience.
  • Licensure to practice law in Ontario and good standing as a lawyer licensee of the Law Society of Ontario.
  • Experience in a range of relevant commercial law matters gained from private practice and/or in-house.
  • Excellent corporate and commercial legal skills, including drafting, negotiation, and attention to detail.
  • Ability to communicate effectively with senior management, City Council, and external stakeholders.
  • Ability to work effectively independently and in a team environment.
  • Business and political acumen, creativity, and sound judgment.
  • Ability to accurately assess the length and difficulty of issues and set priorities.
  • Ability to explain and present complex ideas clearly and understandably and influence others.
  • Knowledge of key industry trends and market changes and ability to develop legal strategies accordingly.
  • Advanced skills in Microsoft Office, including Word, Excel, PowerPoint, and Outlook.
  • Knowledge and understanding of the Occupational Health and Safety Act, the Ontario Human Rights Code, the Workplace Safety and Insurance Act, and the Accessibility for Ontarians with Disabilities Act.
  • Equivalent combinations of education and experience may be considered.
Responsibilities
  • Provide clear and concise advice to City Departments and City Council on general corporate and commercial matters, including business operations and municipal services.
  • Provide leadership and guidance and lead individuals, teams, or projects as required.
  • Support the planning and implementation of complex capital projects.
  • Review, draft, and negotiate sophisticated agreements for commercial transactions, including procurement, requests for proposals, construction, infrastructure, and information technology projects involving public and private sector entities.
  • Assist with handing finalized negotiated contracts to City departments and support ongoing contract management throughout the contract lifecycle.
  • Lead front-line negotiation and preparation of commercial contracts.
  • Support, and in some cases lead, the negotiation and creation of partnerships, joint ventures, and other strategic business structures for targeted business pursuits.
  • Assist project teams in avoiding disputes or resolving them amicably, professionally, and efficiently.
  • Participate in mediations and arbitrations relating to commercial contract disputes.
  • Support internal or external counsel with commercial contract litigation.
  • Conduct legal research and prepare memoranda and legal opinions on legal matters relevant to the municipality and the implications of law for operational and strategic decisions.
  • Interpret federal and provincial legislation, regulations, and case law relevant to the City.
  • Anticipate City department business issues, investigate underlying causes, and develop and implement short- and long-term legal solutions.
  • Develop and continuously improve contract practices within City Departments.
  • Engage with internal and external stakeholders, including other levels of government.
  • Prepare and review Council and Committee reports.
  • Attend Council, Committee, and other public meetings as required.
  • Stay current on changes in legislation, regulation, and case law affecting the City and provide related advice.
  • Provide strategic legal advice on contracts and commercial law, public procurement, corporate law, and related matters.
  • Anticipate, plan, and conduct legal training sessions for City Departments.
  • Meet tight deadlines and balance conflicting priorities.
  • Undertake or contribute to special projects within Legal Services or with other City departments in support of the corporation’s strategy and objectives.
  • Work in multidisciplinary teams in leadership and support roles as required.
  • Comply with applicable health and safety legislation and City occupational health and safety policies and procedures.
  • Contribute to the organization’s service, inclusion, wellness, and learning culture.
  • Perform other related duties as assigned.
