Requirements
  • A J.D. from an American Bar Association-accredited law school is required.
  • Admission to a bar is required, with a New York license preferred.
  • At least 3 years of legal experience is required, with 3 years in a corporate law setting or as Head of Legal for a mortgage platform.
  • Proven experience negotiating agreements, particularly complex corporate and lending agreements, is required.
  • Strong understanding of asset-backed lending, structured finance, or mortgage and loan documentation is required.
  • Experience managing outside counsel and legal budgets is required.
  • Experience in fintech, alternative lending, or mortgage lending is required.
  • Background in securitization or capital markets transactions is required.
  • Knowledge of employment law and contractor classification issues is required.
  • Ability to provide written and verbal legal advice to non-legal stakeholders is required.
Responsibilities
  • Draft and negotiate master loan participation agreements and warehouse line agreements, manage redlines, customize terms, and control final execution.
  • Review loan-level structures, identify legal and structural risks, make binding decisions, and confirm borrower structure integrity for deal progression.
  • Serve as a real-time legal advisor to the organization, answer structuring questions, and make legal judgment calls in major decisions.
  • Draft separation agreements, negotiate employment terms, and handle employment law issues.
  • Review and execute non-disclosure agreements, challenge aggressive terms, and manage partner non-disclosure agreements.
  • Maintain and govern master loan participation agreement, non-disclosure agreement, and consulting agreement templates.
  • Draft consulting and contractor agreements, structure compensation, and determine contractor versus employee classification.
  • Review vendor and advisory engagement letters, adjust fees and scope, and manage vendor relationships.
  • Support diligence and securitization efforts, answer investor structure questions, and review data and exceptions.
  • Review outside counsel work, manage costs and scope, and translate legal advice into business guidance.
  • Advise on licensing requirements, flag regulatory risks, and coordinate with outside counsel on specialized expertise.
  • Answer legal edge cases, review organizational structures, and create internal policies.
Desired Qualifications
  • A New York bar license is preferred.
  • Experience managing a legal team or mentoring junior attorneys is preferred.
