Matrix Composites shareholders back $61M takeover by UK's Advanced Innergy Holdings

Henderson-based Matrix Composites & Engineering is nearing its exit from the Australian Securities Exchange after shareholders overwhelmingly backed a $90 million takeover by UK-headquartered Advanced Innergy Holdings. The scheme received support from 99.8% of votes cast and 93.9% of shareholders present. Under the deal, shareholders will receive 40¢ per share in cash, representing a 66.7% premium to Matrix's closing price on 30 March. Advanced Innergy Solutions Australia, a wholly owned subsidiary of AIH, would acquire all Matrix shares. The acquisition requires Federal Court approval at a hearing scheduled for 13 July. If approved, implementation is expected on 23 July, with Matrix due to be removed from the ASX on 24 July. Matrix manufactures engineered products for oil and gas, defence, and renewable energy sectors from its Henderson facilities.

Advanced Innergy Holdings has submitted a second takeover bid for Perth-based Matrix Composites & Engineering, after its initial offer failed last year. The new proposal addresses issues that caused the first attempt to collapse. No financial details of the latest offer have been disclosed.

AIH to acquire Imenco Aqua AS and Imenco Chile SA. Advanced Innergy Holdings Ltd ("AIH", trading as AIS) has entered into a definitive agreement to acquire 100% of the shares in Imenco Aqua AS and Imenco Chile SA ("Imenco Aqua"), a Norway- and chile-based supplier of essential aquaculture technology solutions. Imenco Aqua supplies oxygenation systems, monitoring solutions and biomass technologies used by salmon farmers to support fish welfare, operational performance and regulatory compliance in key salmon markets. The company also provides upwelling solutions and specialised camera systems deployed in and around farming operations. Imenco has an established installed base of oxygenation and upwelling-related systems across Norway and Chile. Approximately 30% of FY25 revenues are recurring, supported by leasing of IP-protected systems and ongoing aftermarket service and technical support, enhancing earnings visibility and quality. Building on AIH's recent Ovun acquisition, the transaction further expands AIH's Marine platform into cage-adjacent aquaculture operations and strengthens its commercial reach in Norway and Chile.
