C3 AI grants new general counsel 826,901 restricted stock units over five years

C3 AI has granted a restricted stock unit award to Tom MacMitchell, its newly appointed senior vice president and general counsel. The award, approved on 30 July 2026, covers 826,901 shares of the company's Class A common stock. The equity grant was made under C3 AI's 2025 Inducement Plan as a material inducement to MacMitchell's employment. The award will vest over five years, with 165,380 RSUs vesting after 12 months and the remainder vesting quarterly thereafter. The award includes double-trigger acceleration provisions in the event of a corporate transaction or change in control, followed by qualifying termination within 36 months.

C3.ai CEO Thomas Siebel sells shares worth $4.2M amid 66% stock decline

Thomas M. Siebel, CEO and Chairman of C3.ai, Inc., sold 462,565 shares of Class A Common Stock on 14 and 15 July 2026, worth $4.2 million, according to an SEC Form 4 filing. Siebel exercised options at a strike price of $3.90 per share and immediately sold the resulting stock at a weighted average price of $9.18 per share. The sale represented 17% of his total equity holdings. Following the transaction, Siebel maintains 2,216,684 total beneficial shares, including both direct and indirect interests, representing approximately 1% ownership in the firm. He also holds around 2.9 million derivative securities directly and maintains indirect control over approximately 1.5 million shares through four distinct entities. The transaction occurred after significant volatility, with the stock recording a -66% one-year total return as of 15 July 2026.

C3 AI board member Jim Snabe named EU special envoy for industrial AI

C3 AI has announced that board member Jim Hagemann Snabe has been appointed Special Envoy for Industrial Artificial Intelligence by the European Commission. He will advise Commission President Ursula von der Leyen and Executive Vice-President Henna Virkkunen on the industrial AI ecosystem, including infrastructure, foundational technologies and AI applications across sectors. Snabe will take a leave of absence from C3 AI for the duration of the unpaid appointment, which runs through 31 March 2027. He is expected to return to his roles as board member and special adviser to CEO Thomas Siebel upon completion. Snabe's career spans over three decades in technology and industry. He currently chairs Siemens AG's Supervisory Board and previously served as co-CEO of SAP, Chairman of A.P. Møller–Maersk, and Vice Chairman of Allianz SE.
