Colossus AcquireCo LLC, backed by Brookfield Infrastructure, issued $2.9 billion in senior secured debt to finance the $9.1 billion acquisition of Colonial Enterprises. S&P Global Ratings assigned a 'BBB-' issuer credit rating to Colossus and a 'BB+' rating to the $2.15 billion term loan due 2032. Brookfield Infrastructure Partners has acquired Colonial Pipeline for approximately $9 billion, including debt, with the deal expected to close in the second half of the year.
Brookfield Infrastructure Partners (BIP) will acquire Colonial Enterprises, owner of Colonial Pipeline, for $9 billion. The deal values Shell Midstream's share at $1.45 billion. BIP's equity investment is $500 million, about 15% of the total. Debt financing is led by Morgan Stanley and Mizuho Bank. The transaction, advised by Jefferies, Greenhill, and Morgan Stanley, is expected to close in Q4 2025, pending regulatory approvals.
