StarHub sells Ensign InfoSecurity stake to Temasek for $89M, books $154M gain

StarHub is selling majority control of cybersecurity joint venture Ensign InfoSecurity back to co-shareholder Temasek for S$115 million, booking a gain of over S$200 million. The deal ends a seven-year governance arrangement established in 2018. Under the original structure, Temasek subsidiary Ensign Technologies assigned voting and economic rights to StarHub for S$77.6 million, giving the telco an effective 55.73% interest. With the termination, StarHub's stake reverts to 38.92%, and Ensign InfoSecurity will be reclassified from a subsidiary to an associated company. Temasek will pay StarHub S$115 million in cash within 15 business days. Ensign InfoSecurity will also distribute S$6 million to StarHub through capital reduction. StarHub said the move allows it to redeploy capital towards core business investments whilst retaining strategic participation.
