In return, Schäflein gains the international platform that is essential to its continued growth. Both family-owned businesses are committed to continuity: Schäflein's management team and family roots will be preserved. [Roissy-en-France, France], [22 June 2026] - FM Logistic, a major international supply chain player, today announces the signing of an agreement to acquire a majority stake in the capital of German logistics group Schäflein. The current management, Achim and Bernd Schäflein, will retain an equity stake, thereby securing the continuity and family roots of the business. Completion of the transaction is subject to customary closing conditions, including merger clearance by the German Federal Cartel Office (Bundeskartellamt). Geographic expansion meets industrial strength The proposed acquisition is part of FM Logistic's strategy to strengthen its geographic diversification and accelerate its development in the industrial sector. With Schäflein, the company is integrating a true German champion that generates almost 40% of its revenue in industry and 27% in mobility. Schäflein brings highly sought-after technical expertise: a high degree of automation through its specialised in-house unit LOCIT, recognised know-how in the management of reusable containers through its SprintBOX solution, and a pioneering commitment to decarbonisation. This union brings together two family-owned businesses that share common values and place long-term vision, operational excellence and close customer relationships at the heart of everything they do. Jean-Christophe Machet, CEO of FM Logistic, states: " FM Logistic and Schäflein share a common DNA: that of family owned-businesses driven by a long-term vision and thinking in terms of generations. Our entry into the German market, the largest in Europe, is based on the deliberate choice of a best-in-class partner. Our goal was not simply to acquire capacity, but valuable industrial know-how. We are investing in growth to carry forward Schäflein's model and to build, together, an indispensable pan-European market leader." A strong commitment to continuity for customers and employees Following completion of the transaction, Schäflein's operational management will remain unchanged to ensure full continuity. Achim Schäflein (CEO), Bernd Schäflein (COO), and Christoph Heller (CFO) will retain their leadership positions. Customers will experience no operational disruption and will keep their established points of contact. The "Schäflein" brand will be maintained for the foreseeable future, reflecting the company's strong local roots. A gradual transition strategy will be implemented over several years to reflect the partnership with FM Logistic. Ambitious growth synergies for industrial excellence With a clear focus on value creation and growth, the partnership is designed to drive strong expansion through four key growth levers: Serving international customers in Germany: providing FM Logistic's services to its international customers in Germany - a market with high potential for the Group. Connecting transport networks: integrating FM Logistic's transport flows into Schäflein's high-performance national and international groupage network (including the hub in Röthlein). Enhancing the industrial offering: enriching FM Logistic's industrial offering by rolling out Schäflein's excellence model across the Group's countries of operation (Poland, Slovakia, Spain, France and others). Growing geographically: expanding Schäflein in Germany beyond its Frankonian stronghold into new high-potential logistics hubs (the Ruhr region and Leipzig). Achim Schäflein, CEO of Schäflein, adds: " We were looking for a strategic and industrial partner capable of supporting the international development of our model. Joining forces with FM Logistic gives us that international reach while allowing us to preserve our identity, our management team and our absolute commitment to our long-standing customers." FM Logistic and Motul open a strategic logistics hub in Nangis dedicated to international operations. FM Logistic and Motul have opened a new logistics hub in Nangis, France, to centralise operations and support global growth across 160 countries. 06/03/2026 - France FM Logistic and Motul inaugurate a 45,000-square-meter logistics platform in Nangis (Seine-et-Marne), dedicated to the global operations of the high-performance lubricant specialist. This new hub centralizes both Motul domestic and export flows to more than 160 countries, supporting the company's strong international growth within a High-Environmental Quality (HQE-certified facility) that complies with the most demanding regulations. A logistics hub designed to support Motul global growth. Partners since 2018, FM Logistic and Motul are taking their collaboration to the next level with the commissioning of the Nangis facility, which now serves as the central hub of Motul global logistics network. Implemented in three phases between November 2025 and July 2026, the platform regroups all logistics operations previously spread across several sites. It features 70,000 pallet spaces, 40 loading docks, and a daily order fulfillment capacity of 6,000 parcels. This new organization supports Motul strong growth across all markets, as well as its product portfolio diversification strategy. Classified as a lower-tier SEVESO site, the platform meets the requirements associated with storing sensitive products. Certified under AEO, ISO 9001, and ISO 45001 standards, it also secures international customs operations through a dedicated team of air freight-certified specialists. Xavier Baraton, Supply Chain Director at Motul: "With Nangis, we are reaching a major milestone in the organization of our global supply chain. This new hub provides us with greater capacity, reliability, and flexibility to support Motul international development and meet global customer expectations. This project also reflects the strength of the partnership we have built with FM Logistic over the years, founded on trust, agility, and a deep understanding of our operational challenges." Jean-Christophe Machet, CEO of FM Logistic Group: "Nangis mirrors what we strive to build with our partners over the long term: robust, scalable logistics solutions capable of supporting their international growth. With Motul, we share the same commitment to performance, as well as a common ambition to invest in sustainable solutions rooted in local communities and designed for the future." A platform designed for operational excellence. The Nangis site was designed to manage a wide variety of products and packaging formats, including automotive and industrial lubricants, technical fluids, additives, and next-generation thermal management fluids. Located just 60 kilometers from Motul production facility in Vaires-sur-Marne, the platform strengthens synchronization between manufacturing and distribution while improving inventory visibility and international delivery lead times. To address the site's operational and ergonomic challenges, FM Logistic has deployed several technological solutions: * Storeganizer, which optimizes storage and decreases operator travel distances; * Stereolabs, which enhances the reliability of export loading inspections; * Secure drum-handling clamps for safer management of heavy loads; * Latest-generation automated stretch-wrapping machines that improve working conditions and reduce film consumption. Rani Ladjissi, Director of FM Logistic Nangis Platform: "This site was designed with the ambition of creating an environment that combines operational performance, safety, and quality of work for our teams. Every solution deployed at the Nangis platform addresses specific needs expressed by both Motul and our employees, with the goal of improving operational reliability and everyday working conditions." A sustainable industrial project creating jobs. The site was awarded the HQE Sustainable Building certification by Certivéa during the inauguration ceremony. Equipped with a 450 kWp photovoltaic power plant, a rainwater harvesting system, and 100% LED lighting, the platform achieves energy consumption below 20 kWhep/m[2]/year. Nearly 2,900 native trees and shrubs have also been planted around the site to promote biodiversity and enhance the working environment for employees. Already established in Seine-et-Marne through its operations in Fontenay-Trésigny and Mormant, FM Logistic is further strengthening its local presence with nearly 100 employees working at Nangis and plans to recruit 15 additional permanent staff members by the end of 2026. In addition, a 20,000-square-meter land reserve has been secured to support future developments in the partnership between the two companies. FM Logistic has secured €320 million in financing to accelerate its European growth strategy, supporting investments in logistics real estate, automation and supply chain transformation. The refinancing transaction was significantly oversubscribed, with demand reaching nearly twice the amount raised. The deal features a hybrid structure combining a corporate tranche and a real estate-backed tranche, with an initial nine-year tenor extendable to 11 years. It includes a pan-European structuring spanning multiple countries, including Spain, and brought together 14 banks from eight French and European institutions. Founded in 1967, FM Logistic is a family-owned company with €1.8 billion in turnover and over 28,000 employees across Europe, Asia and Latin America. The funding aligns with its Powering 2030 strategy combining economic performance with environmental and social commitments.
FM Logistic at Google Cloud Next 2026 in Las Vegas. FM Logistic joined Google Cloud Next 2026 to showcase its latest AI-driven innovations in warehouse optimisation. From April 21 to 24, 2026, FM Logistic took part in Google Cloud Next '26 in Las Vegas (USA), one of the leading global events dedicated to cloud technologies and artificial intelligence. This year's edition, centered on the concepts of the "agentic cloud" and the shift toward an "autonomous era," highlighted how AI is reshaping industries and operational models. Bringing together a global community of technology leaders and innovators, the event showcased the latest advancements in cloud infrastructure and AI-driven solutions. During the conference, Google executives shared their vision of AI-powered agents transforming business processes and redefining performance standards. FM Logistic contributed to this dynamic through a dedicated breakout session led by Mateusz Klimowicz, RPA Manager. The session, titled "Tackling the Traveling Salesman Problem in Warehouse Logistics", presented a concrete use case of algorithmic optimisation applied to e-commerce warehouse operations. The project focused on optimising mission batching by grouping 16 orders in a way that minimises total travel distance for warehouse operators. This solution was deployed in a highly complex environment, characterised by: * A warehouse footprint equivalent to eight football fields * More than 17,700 active picking locations * Continuous 24/7 operations across three shifts with multiple simultaneous operators In early 2026, FM Logistic enhanced this approach by integrating the AlphaEvolve solution, combining advanced algorithms with real-time processing capabilities. The result: a 10.4% reduction in picking distance, representing annual savings of over 15,000 kilometres for operators and equipment. These gains translated into increased throughput and reduced lead times, without requiring additional infrastructure investment. This initiative reflects FM Logistic's broader ambition to become a recognised leader in sustainable omnichannel supply chains by 2030. Next steps include scaling this optimisation model to other high-volume e-commerce sites and introducing AI-driven slotting strategies to further improve warehouse efficiency.
