Included Health has signed a definitive agreement to acquire Firefly Health, a clinically-integrated health plan and advanced primary care company. The transaction is expected to close in the third quarter of 2026, subject to regulatory review. Firefly Health delivered a 15% reduction in total cost of care across its Administrative Services Only book of business in 2025, whilst maintaining 90% member satisfaction. The company serves more than 20,000 individuals nationally through its model combining primary care, chronic condition management, mental healthcare, and specialty care. The acquisition will combine Included Health's AI-native platform with Firefly's health plan model, which includes a nationwide network of 2,300-plus in-person, in-home, and specialty partners. Together, the companies aim to provide employers with an integrated benefits experience that reduces costs whilst improving employee health outcomes.
