As these transactions have become more sophisticated, valuation has increasingly been shaped by negotiation leverage, capital structure design, cooperation agreements, and financial engineering tools such as uptiers, dropdowns, and priming transactions. The discussion will provide a framework for assessing whether an LME enhances enterprise value or primarily reallocates value among stakeholders, including the litigation and friction risks that can follow.
