(NYSE: LYNX), a defense technology company delivering sense-to-act connectivity solutions for the modern connected battlespace has completed Critical Design Review (CDR) for the tri-band antenna system in development for Kongsberg Satellite Services (KSAT)'s two-satellite Hyperion mission, marking a key milestone as the program advances toward hardware integration, qualification, and flight. Hyperion is the pathfinder for HYPER, KSAT's next-generation hybrid RF and optical relay network designed to extend global connectivity into orbit. The architecture will enable spacecraft to move mission data through relay satellites when direct ground-station access is unavailable, reducing latency and increasing access to time-sensitive information. Delivering tri-band performance in a single antenna system is a demanding engineering problem. Each frequency band has to be tightly controlled - filtering out unwanted signals, isolating the bands from each other, and minimizing signal loss. But optimizing for one band can easily degrade performance in another. Meeting those requirements for all three simultaneously, inside a compact, space-qualified envelope, leaves little room for error. That difficulty compounds when the design moves from RF engineering into flight hardware, and the completed system then has to be validated in test facilities capable of characterizing performance across all three bands at once, a capability few organizations maintain in-house. Completion of CDR as planned demonstrates the technical maturity of the design and reflects the close engineering partnership between Lyntris and KSAT as both teams move toward flight hardware. (NYSE: LYNX), a defense technology company delivering sense-to-act connectivity solutions for the modern connected battlespace, today announced it has completed a multi-year investment to add phase change material ("PCM") capability at its Jessup, Maryland facility. The investment positions Lyntris as a vertically-integrated source for passive thermal management in seeker, sensor, and mission electronics applications, with production capacity available in Q3 2026. Each new generation of defense electronics demands greater performance out of ever smaller form factors. Radars are expected to see farther with increased sensitivity and advanced seekers need to detect, track and destroy targets in highly contested environments. All of that sensor capability generates heat that has to go somewhere. As density and power levels increase, cooling is often a limiting factor in sensor performance. The usual answer is active liquid cooling, which works well on a ship or a ground vehicle with room to spare, but is not practical inside small, attritable sensors and seekers. Pumps, tubing, and reservoirs take up the volume, add weight, and introduce parts that can fail. Phase change material heat sinks solve the problem differently. They work like a thermal battery: an engineered material inside the heat sink melts as the electronics heat up, absorbing energy. The electronics stay within their limits for the length of the mission, with no pumps and no plumbing. For missions measured in minutes, this solution allows recovery of the space, weight, and reliability an active cooling loop would have consumed. These solutions support missile and sensor platforms entering high-rate production, where requirements can reach thousands of units, so a cooling approach that works on a prototype bench is worth little if it cannot be built the same way thousands of times. Lyntris sized the new manufacturing line anticipating that reality. The line runs the full sequence in one, vertically-integrated facility, built for rate production rather than prototype quantities and includes precision machining of the heat sink structure, vacuum brazing, controlled PCM filling, thermal performance testing, and final assembly. These steps are typically split across multiple vendors, where each handoff adds qualification and schedule risk. "Next-generation defense systems are being asked to deliver substantially more capability from increasingly compact platforms, and thermal management is often one of the limiting factors," said Matt Parisi, VP of Business Development at Lyntris. Lyntris $298M IPO hits wall street, landing well below its original target. 0 Comments Defense technology company Lyntris Inc. finally stepped onto the public stage Wednesday, but the debut came with a twist: what started as a much bigger ambition ended up landing at a noticeably smaller number. The private equity-backed firm raised $298 million in its initial public offering, guided by law firms Willkie Farr & Gallagher LLP and Latham & Watkins LLP. How the numbers shook out. Lyntris priced its offering at $17.50 per share, selling a total of 17 million shares as it began trading on the New York Stock Exchange under the ticker symbol LYNX. The split between fresh capital and existing ownership tells its own story: the company itself sold roughly 5.7 million shares, while existing stockholders cashed out on approximately 11.3 million more. A deal that shrank on its way to market. The final numbers represent a significant retreat from where Lyntris started. The Falls Church, Virginia-based company originally told regulators on Aug. 10 that it hoped to raise around $492 million, planning to sell 24 million shares priced between $19 and $22 apiece, according to a filing with the U.S. Securities and Exchange Commission. Between that initial pitch and Wednesday's actual pricing, the deal lost nearly $200 million in projected value - a gap that suggests investor appetite came in cooler than the company had hoped. What Lyntris actually does. In its regulatory filing, Lyntris described itself as a company that fuses specialized hardware, software and mission expertise together, positioning itself to help customers detect threats earlier, make decisions faster, and act with greater precision - the kind of pitch tailored squarely at defense and national security clients operating in high-stakes, time-sensitive environments. Who's cashing in. The company is backed by private equity firm Trive Capital, and the SEC filing shows that funds tied to Trive Capital, along with existing executives and directors, participated as sellers in the offering - meaning early backers used the IPO as a chance to convert at least part of their stake into cash even as the company itself raised new capital. Room for the offering to grow. The deal isn't necessarily finished expanding. Selling stockholders have granted underwriters a 30-day option to purchase up to an additional 2.55 million shares at the IPO price - a standard mechanism that could still push the total raise higher if demand holds up in the weeks ahead. Where the money is headed. Lyntris told regulators it plans to funnel the proceeds in two main directions: roughly $60 million will go toward repaying existing debt, while the remainder is earmarked for general corporate purposes, including further product development, working capital needs, and day-to-day operational expenses. Closing the books. The offering is expected to formally close Thursday, putting a bow on a process that began with far loftier expectations than it ultimately delivered. The Falls Church, Virginia-based company and some of its existing shareholders downsized the IPO to 17 million shares on Tuesday and raised $297.5 million, after the company and its shareholders had initially marketed 24 million shares at $19 to $22 apiece. The company sold about 5.7 million shares in the IPO, more than its earlier proposal of about 4.9 million shares, while existing shareholders cut their offering by more than 7.8 million shares.
