Baker McKenzie advises Main Capital Partners on its proposed acquisition of Tribal Group. * Author Cynthia Lydia Marbaniang * Published September 21, 2026 Leading global law firm, Baker McKenzie, is advising Main Capital Partners ("Main") on its proposed acquisition of all of the operating businesses and activities of Tribal Group plc ("Tribal Group"), an education software and services group trading on the London Stock Exchange for c £189.3 million (the "Transaction"). The Transaction constitutes a fundamental change of business for Tribal Group pursuant to AIM Rule 15 and, as a result of Tribal Group having been in receipt of an approach from another potential offeror, it is also deemed a restricted action under Rule 21.1 of the UK Takeover Code and is therefore conditional on, amongst other things, approval by the shareholders of Tribal Group at a general meeting. Main Capital Partners has acquired a majority stake in Orgvue, a London-based strategic workforce management software company. This marks Main Capital's first platform investment in the UK market. Orgvue provides cloud-based solutions that help large enterprises design, plan, and optimise their workforce structures. The company serves nearly 200 global enterprise clients, including HM Government, Mars, Danone, and Aviva, and employs approximately 250 people across offices in North America, EMEA, and APAC. The partnership aims to accelerate Orgvue's product innovation, expand its international presence, and enhance customer engagement. Main Capital and Orgvue also plan to pursue selected add-on acquisitions to strengthen the company's product portfolio and market position.
