Wildeboer Dellelce recently advised international and Canadian clients on a series of cross-border transactions, spanning mergers and acquisitions, capital markets, real estate and structured finance across the technology, food and beverage, digital assets, natural resources and financial services sectors. A US$1.1 billion take-private of North American beverage supply-chain business SunOpta by Dutch group Refresco, the sale of Toronto digital-asset manager 3iQ into Japan's Coincheck, and a £270 million UK self-storage portfolio moving into Canadian hands are among them. Each is summarised below. SunOpta's US$1.1 billion take-private by Refresco - Mergers and Acquisitions - Take-Private - Cross-border (Netherlands) - May 2026 Wildeboer Dellelce acted for the Special Committee of the Board of Directors of SunOpta, a North American supply chain solutions provider for beverages, broths and snacks, in connection with its US$1.1 billion take-private transaction by Refresco, the Dutch-headquartered global beverage company with operations across Europe, North America and Australia. The transaction placed a North American food and beverage platform under European ownership and was the largest matter in this selection. Monex Group's sale of 3iQ to Coincheck - Corporate and M&A - Digital Assets - Cross-border (Japan) - February 2026 Wildeboer Dellelce advised Monex Group on the sale of its majority interest in Toronto-based 3iQ Corp., one of the world's leading alternative digital asset managers, to Coincheck, one of Japan's leading crypto asset exchanges. The transaction sits squarely in the digital assets and tokenisation space, moving a Canadian digital asset manager into a major Japanese exchange group in a live example of the cross-border consolidation now shaping the sector. £270 million UK self-storage portfolio sale to QuadReal - Real Estate - Cross-border (United Kingdom) March 26 The firm acted for the Special Committee of the Independent Trustees of the Padlock Euro Storage Fund I on its £270 million sale of a 27-property portfolio of UK self-storage and mixed-use assets to an affiliate of Vancouver-based QuadReal Property Group. The matter brought a UK real estate portfolio into Canadian institutional ownership. Brazil Potash Corp.'s US$125 million capital markets programme - Capital Markets - Cross-border (Brazil) - April-May 2026 Acting as Canadian counsel to Brazil Potash Corp., a mineral exploration and development company whose potash project is located in the state of Amazonas, Brazil, Wildeboer Dellelce advised on its Form F-3 shelf prospectus filing, the establishment of a US$125 million at-the-market equity offering programme and a US$63.3 million public offering. The work financed a Brazilian resources project through North American capital markets. AllTrue.ai's acquisition by Varonis Systems - Corporate and M&A - Technology - Cross-border (United States) - February 2026 Wildeboer Dellelce advised Vancouver-based AllTrue.ai Inc., an AI Trust, Risk and Security Management (AI TRiSM) company, on its acquisition by Varonis Systems, Inc., a leader in data security headquartered in Miami, Florida. The deal was an inbound United States acquisition of an artificial intelligence security business. NG Energy International's US$150 million Colombia transactions - Corporate and M&A - Energy - Cross-border (Colombia) - January 2026 Wildeboer Dellelce acted for Canadian exploration and production company NG Energy International Corp. on a series of strategic transactions relating to its working interest in the Sinú 9 Block in Colombia, with total consideration of US$150 million, connecting a Canadian energy company with Latin American assets. Alongside these, the firm's first-half work also included advising KSV Advisory on its acquisition by U.S. consulting firm AlixPartners; U.S. digital health company Somatix on its US$12.3 million all-stock merger with Canadian health-technology company Vitalist; the agents on the $42.1 million initial public offering of Focus Industrial UK Corp. I, a fund investing in UK multi-let industrial real estate; and a Canadian tech-driven mortgage lender on a $300 million cross-border receivables financing with a U.S. financial institution. June 12, 2026 Starkville, Miss. - JLL has secured a $64 million refinancing for The Vista Starkville, an 820-bed student housing community located near the Mississippi State University campus in Starkville. Gregg Shapiro, Mike Brady, Sam Tarter, Christian Johnston and Connor McCarthy of JLL represented the borrower, Student Quarters, in securing the three-year, floating-rate loan from QuadReal Property Group. Built in 2019, the property offers 309 units in a mix of studio through five-bedroom configurations. Shared amenities include a fitness center, social lounge, resort-style pool and private resident parking. The community also features ground floor retail space occupied by Boardtown Pies & Pints.
