Owens & Minor (OMI) reported a Q4 2024 net loss of $(311)-(288) million due to a $310 million non-cash goodwill impairment in its Apria division. Owens & Minor (NYSE: OMI) has signed a definitive agreement to acquire Rotech Healthcare Holdings for $1.36 billion in cash, with a net purchase price of approximately $1.32 billion after tax benefits. Rotech generated about $750 million in revenue with an EBITDA margin of nearly 30% in 2023. The acquisition aligns with Owens & Minor's strategy to expand in home-based care. The deal is expected to close by the end of 2024 and achieve $50 million in synergies by year three.
Under the terms of the agreement, which was unanimously approved by the Board of Directors of each company, Owens & Minor will acquire Rotech for $1.36 billion in an all-cash transaction.
