Air Industries Group has entered into an amended merger agreement with Tenax Aerospace Acquisition, superseding their original agreement from February 2026. The revised deal, executed on 2 July 2026, primarily addresses NYSE American Stock Exchange listing requirements to ensure the combined company's shares remain listed post-merger. The company plans to file a Form S-4 registration statement with the Securities and Exchange Commission to register additional shares of Air Industries common stock for the merger. Acting chief executive Scott Glassman said the amendments provide greater certainty for shareholders and position the combined company for successful completion. Air Industries manufactures precision components and assemblies for aerospace and defence contractors, including landing gears, flight controls and engine components. The merger remains subject to shareholder approval.
