Voyager Technologies has priced its offering of $350 million in convertible senior notes due 2032. The notes carry a 0% interest rate and will settle on 28 September 2026. The initial conversion price is approximately $40.82 per share, representing a 30% premium over Voyager's Class A common stock price of $31.40 on 23 September 2026. Initial purchasers have an option to buy an additional $52.5 million in notes. Voyager expects net proceeds of approximately $340.4 million after fees. The company will use roughly $45.7 million to fund capped call transactions, with the remainder supporting general corporate purposes, including organic growth and strategic acquisitions. The capped call transactions have an initial cap price of $78.50 per share, a 150% premium over the current stock price. These are designed to reduce potential dilution upon conversion of the notes.

Voyager delivers quick disconnect plates for ESA's eco-friendly methane rocket

Voyager Technologies has delivered and integrated quick disconnect plates for the European Space Agency's In-Flight Demonstrator rocket. The company worked under contract to Avio, ESA's prime contractor for the PNRR-STS Programme, as part of Italy's National Recovery and Resilience Plan. Voyager designed, built and integrated a dual-interface quick disconnect system comprising a flight unit installed internally and a ground unit mounted externally. These components connect internal fuel systems to ground infrastructure and safely detach during launch operations. The IFD is a single-stage rocket equipped with a cryogenic liquid oxygen and methane engine. The project is funded by the European Union's NextGenerationEU programme and Italy's Complementary Fund. Matt Magaña, president of Space, Defense & National Security at Voyager, said the delivery demonstrates the company's ability to provide flight-ready systems efficiently.
