Zymeworks to acquire Theravance Biopharma for $929M plus contingent value rights

Theravance Biopharma has agreed to be acquired by Zymeworks for $17.00 per share in cash, representing an equity value of approximately $929 million. Shareholders will also receive a contingent value right entitling them to 80% of net proceeds from any future licence, divestiture or monetisation of ampreloxetine over the next ten years. The deal represents a 22% premium to Theravance Biopharma's closing stock price on 3 March 2026, when the company announced results from the ampreloxetine Phase 3 CYPRESS study. The transaction follows a comprehensive strategic review process conducted by the company's Strategic Review Committee and Board of Directors. The transaction is expected to close in the second half of 2026, subject to shareholder approval and customary closing conditions.

Investing.com - Zymeworks Inc (NASDAQ:ZYME) shares rose 4.2% in premarket trading Thursday following the announcement of a partnership with Gandeeva Therapeutics to generate cryo-electron microscopy-based structural data for antibody drug discovery. The collaboration will focus on visualizing structures of antibody-antigen interfaces at high resolution, according to a press release issued Thursday. Both companies are based in Vancouver. Gandeeva scientists determined the structure of a small and flexible antigen at 2.6 Å resolution, successfully visualizing the nine amino acids that form the antibody-binding epitope. The rest of the antigen was highly flexible and not resolved in the reconstruction. The partnership addresses a challenge in the field, as mapping antibody epitope footprints on small and flexible antigens remains difficult. While cryo-EM is routinely used to determine structures of antibody complexes with compact and well-folded antigens, this new advance extends the technology's capabilities. "Knowledge of the precise interactions at the binding interface of these types of challenging targets is incredibly useful for us in selecting antibody leads and provides us with crucial insights for the optimization of biologics," said Dr. Paul Moore, Chief Scientific Officer of Zymeworks.
