Paramount vows 30 films yearly in $81B Warner Bros. deal or faces $30M fine and Miramax sale

A federal judge approved Paramount Skydance's settlement with 12 US states on Wednesday, clearing the way for its $111 billion takeover of Warner Bros Discovery to close on 6 October. The settlement requires the combined company to release at least 30 films annually for five years. For each film it falls short, it must pay $30 million. If it fails to meet quotas, it must also sell its minority stake in Miramax. The merged entity must spend $300 million more yearly on US production than Paramount and Warner Bros spent in 2025. At least 20 films must open on 2,000-plus screens in years one and two, rising to 21 in years three to five. The commitment period begins in 2027. Industry groups including Free Press and the Future Film Coalition had urged the court to reject the settlement as insufficiently protective.

Paramount-Warner Bros. merger approved with $1.5B production boost and film quotas

A US federal judge has approved Paramount Skydance Corporation's antitrust settlement with 12 state attorneys general, clearing its acquisition of Warner Bros Discovery. The merger is expected to close on 6 October. The states, led by California's attorney general, had argued the combination would create excessive market concentration in theatrical films and television channels. Under the settlement, the merged company must release at least 30 films annually in the first two years, increasing to 32 in subsequent years. Each film requires a minimum 45-day theatrical window. The company faces a $30 million penalty per missed film, plus mandatory divestiture of its Miramax stake. It must also increase domestic production spending by $300 million annually and establish a five-member editorial independence board for CBS News and CNN.
