Cloudflare raises $2.175B through convertible notes to fund growth and infrastructure expansion

Cloudflare has priced a $2.175 billion private offering of 0% convertible senior notes due 2031. The notes carry no cash interest payments, with investors receiving conversion rights into cash, shares, or both under specified conditions. The company granted initial purchasers a 13-day option to acquire an additional $325 million in notes. Cloudflare will use proceeds for capped call transactions to reduce potential shareholder dilution, alongside general corporate purposes including working capital, capital expenditures, potential acquisitions, and strategic investments. The convertible structure allows Cloudflare to raise capital without immediate shareholder dilution or recurring interest expenses. The zero-percent rate reflects investor confidence in the company's long-term growth prospects. The notes mature 15 August 2031 unless earlier converted, redeemed, or repurchased. The offering was structured as a private placement under Rule 144A, targeting qualified institutional buyers.

Cloudflare lands FedRAMP High clearance as GAAP operating loss nearly triples to $206M

Cloudflare announced its Cloudflare for Government platform achieved FedRAMP High authorization and GovRAMP Moderate authorization on 10 August. The company plans to pursue Department of Defense Impact Level 4 clearance next. The credentials allow Cloudflare to process data tied to national security and critical infrastructure. Over 100 federal agencies already use Cloudflare, including the Departments of Commerce, Energy, Homeland Security, Justice, and State. Despite progress, Cloudflare reported widening losses in its second-quarter results. GAAP operating loss reached $205.7 million, nearly triple the $67.3 million loss from the prior year. Revenue grew 36% year-over-year to $696.1 million. CEO Matthew Prince noted that machine traffic exceeded 50% of total network traffic for the first time, months ahead of his 2027 forecast.

Cathie Wood calls out Wall Street for ignoring Cloudflare's stablecoin push after $696M quarter

Cathie Wood criticised Wall Street analysts for overlooking Cloudflare's stablecoin strategy during the company's recent earnings call. The Ark Invest founder argued on X that research teams need to collaborate across sectors as technologies increasingly overlap. Cloudflare has been expanding into stablecoin-powered payments. On 1 July, it launched a Monetisation Gateway allowing customers to charge for digital assets using stablecoins. On 4 August, it unveiled programmable stablecoin wallets for AI agents. CEO Matthew Prince described Cloudflare as building "payment rails for the Agentic Internet" when announcing results on 6 August, though stablecoins weren't explicitly discussed. Ark Innovation ETF purchased approximately 114,000 Cloudflare shares on 7 August. The stock hit a 52-week high of $324.73 following strong second-quarter results showing 36% year-over-year revenue growth to $696.1 million.

Cloudflare's AI wallets mark a turning point for autonomous commerce.

Cloudflare's AI wallets mark a turning point for autonomous commerce. August 8, 2026 Cloudflare's launch of AI wallets raises an interesting question: is the technology now moving faster than the trust frameworks needed to support it? Andrew O'Connor, Agentic AI Lead at PSE Consulting, explains why trusted identity and industry-wide standards will be critical to the future of autonomous commerce. Cloudflare's launch of digital identity and payment capabilities for AI agents is another clear signal that agentic commerce is moving beyond experimentation and into implementation. Over the past year Wealth DFM has seen the major payment networks, AI platforms and technology providers race to develop the foundations for autonomous commerce, from Visa's Trusted Agent Protocol and Mastercard's Agent Pay to Google's Agent Payments Protocol (AP2). Cloudflare's announcement is another important piece of that emerging infrastructure. Giving AI agents a persistent identity and the ability to transact securely addresses one of the biggest barriers to adoption. For merchants, knowing an AI agent has been authenticated and is acting within a consumer's delegated permissions is essential if autonomous purchasing is to become a trusted part of everyday commerce. Without that confidence, businesses will continue to treat AI interactions as a risk, instead of embracing them as a powerful opportunity for growth and innovation. The next challenge is ensuring those trust signals extend consistently across the wider ecosystem. AI agents, merchants, payment providers and platforms all need to align around a common set of standards for identity, authentication, delegated authority and accountability. Fragmentation risks creating multiple trust models that don't interoperate, risking a loss of momentum just as consumer and merchant interest begins to accelerate. The industry has reached a point where the focus must shift from what AI agents can do, to how they can operate and grow safely at scale. The next phase of agentic commerce will depend on building infrastructure that makes autonomous transactions as secure, transparent and reliable as tapping a contactless card. Cloudflare's announcement marks meaningful progress towards that future, but it also highlights the need for continued collaboration across the payments ecosystem to establish the standards, safeguards and trust frameworks required for widespread adoption.

Cloudflare debuts Kitesurf: A headless web browser engineered for AI agents.

Cloudflare debuts Kitesurf: A headless web browser engineered for AI agents. Moaataz Anwar August 08, 2026 0 Comments Internet infrastructure titan Cloudflare has officially entered the web browser development race with the launch of 'Kitesurf'. However, instead of deploying a consumer-focused Google Chrome alternative, the cloud provider has engineered an independent, cloud-hosted browser designed exclusively to act as an execution environment for autonomous AI agents. The Shift Toward Agentic Web Interaction As artificial intelligence software evolves from basic conversational chatbots into highly autonomous agents, these systems must possess the capability to execute complex tasks on behalf of human users. Fulfilling this requirement demands that AI software navigate the public internet, parse raw layout data, and interact with complex web scripts much like a human operator. Unlike traditional desktop web browsers built for human eyes, a runtime environment engineered for AI agents discards visual layout components, including graphic themes, tab arrays, or interactive browser extensions. Instead, an AI-centric browser prioritizes context window limits, raw processing performance, computational token costs, and rapid network scalability. Furthermore, Kitesurf operates under a unique security paradigm, as headless AI browsers are highly vulnerable to specialized web threats such as prompt injection attacks. Under the Hood: Architecture and Efficiency Cloudflare developed and deployed the first iteration of Kitesurf in a remarkably tight 12-week schedule. The entire browser engine operates directly on top of Cloudflare's proprietary serverless infrastructure, known as Workers. Rather than relying on the heavy Chromium source code, Kitesurf is constructed by merging several distinct modular open-source technologies: - Rendering Component: Incorporating a lightweight, modular web rendering engine from Blitz. - Style Parsing: Utilizing Stylo, the specialized CSS parsing engine developed by Firefox. - Inspiration Framework: Cloudflare credits Obscura, an open-source, Rust-based headless engine, for inspiring the project, noting that Kitesurf's initial proof of concept was a direct port of Obscura into the Workers platform. By bypassing heavy graphic rendering systems, Cloudflare claims that Kitesurf is significantly more efficient in CPU utilization and local memory consumption than Chromium when executing standard automated tasks like capturing webpage screenshots or extracting raw HTML text. Current Testing and Availability Despite its new architectural state, Cloudflare confirms that Kitesurf already passes more than 215,000 standard web platform tests, with development teams adding hundreds of compliance verifications weekly. The browser can correctly parse and render JavaScript-heavy benchmark sites like TodoMVC, along with Wikipedia, Hacker News, and Cloudflare's corporate administration dashboard. Kitesurf is available immediately as a free beta asset integrated into Cloudflare's Browser Run suite, allowing software engineers to programmatically control and test automated headless browser workflows across Cloudflare's global network.
