Requirements
  • A Juris Doctor degree from an American Bar Association-accredited law school, bar admission, and a good academic record.
  • At least 5 years of experience in a large corporate setting; in-house experience is preferred but not required.
  • Significant experience with commercial lease transactions and contract administration.
  • Experience drafting and reviewing commercial leases and corporate legal instruments, and filing with state and federal agencies.
  • Experience working in a commercial, retail environment.
  • Ability to handle multiple transactions simultaneously.
  • Strong data and internet research skills and written and verbal communication skills.
  • Ability to read, comprehend, and interpret complex and detailed documents in English.
  • Proficient understanding of or familiarity with corporate entities and partnership terminology and structure.
  • Problem-solving skills to gather and analyze information to identify and resolve problems in a timely manner.
  • Ability to prioritize effectively and use time efficiently to develop realistic action plans.
  • Ability to establish rapport with employees and team members, and create trusting relationships within the organization and with government and regulatory agencies.
  • Ability to make timely and accurate recommendations based on available information, and exercise considerable judgment and discretion.
  • Evidence of practicing a high level of confidentiality and ability to handle confidential information with the highest degree of care.
  • Excellent computer skills in a Microsoft Windows environment, including Outlook, Excel, PowerPoint, and Access, as well as database management and record keeping.
  • Ability to prepare comprehensive reports and represent ideas clearly and concisely, orally and in writing.
  • Ability to communicate clearly and persuasively in positive or negative situations, in group or one-on-one settings.
  • Ability to manage multiple ongoing projects in a timely manner and meet deadlines.
Responsibilities
  • Draft, negotiate, manage, and advise business teams on commercial leases, subordination, non-disturbance and attornment agreements, commercial lease amendments, memorandums of lease, complex services contracts, and other commercial agreements.
  • Manage real estate transactions in coordination with the Site Development department and operations partners.
  • Prepare legal documents by identifying forms, formatting, developing verbiage, and proofreading them for Real Estate’s review and approval.
  • Maintain deadlines and generate status reports.
  • Interact with the organization’s management, other internal clients, and outside counsel.
  • Identify and own relationships with external law firms providing specialist advice.
  • Research, anticipate, and provide guidance to limit PDS’ legal risks.
  • Manage external law firms in defending and prosecuting lawsuits and arbitrations.
  • Develop litigation strategies.
  • Advise management and counsel business units on the legal implications of proposed actions and policies.
  • Perform other duties as assigned by management.
Desired Qualifications
  • At least 3 years of experience as in-house counsel in a large corporate setting.
  • Familiarity with Workshare Professional or similar legal document management systems.
  • In-house experience in a large corporate setting.
