Hon Hai Precision Industry, through subsidiary Foxconn (Far East) Limited, will acquire 239,050,141 common shares of Maxnerva Technology Services Limited at HKD 0.6374 per share, totalling HKD 152,370,559. The transaction, approved by the board on 27 July, is with existing shareholders FSK Holdings Limited and FDG Fund, L.P. The acquisition aims to simplify Maxnerva's shareholding structure and enhance operational efficiency. Following completion, Hon Hai's cumulative shareholding in Maxnerva will reach 40.46%. A mandatory unconditional general offer for Maxnerva's ordinary shares will follow, subject to regulatory approvals from Hong Kong's Securities and Futures Commission. The transaction is expected to complete in early 2027. The deal will be funded with self-owned funds.
