About the job
- A minimum BAC+2 in Law or a qualifying training program in corporate law.
- A minimum of 4 to 5 years of confirmed experience maintaining and monitoring a portfolio of companies.
- A good level of English is essential.
- Strong attention to quality and client service.
- Strong rigor and organizational ability.
- Excellent written and interpersonal communication skills.
- Ability to work as part of a team.
- Proficiency with office software.
- Manage a portfolio of French companies, including public limited companies, simplified joint-stock companies, and limited liability companies.
- Organize and prepare board meetings, president decisions, general meetings, and shareholder decisions relating to the corporate life of the companies.
- Prepare and compile meeting and decision files and send them to the relevant participants.
- Draft legal documents, including minutes and extracts.
- Monitor legal formalities, including legal notices and court registry filings, carried out by a legal formalities provider.
- Maintain corporate registers.
- Monitor, classify, and archive files.
- Update the Group's company-monitoring software for the relevant portfolio.
- Maintain activity reports.
- Participate in exceptional transactions alongside the Head of Corporate Operations for the Group's operating subsidiaries.
- Prepare company incorporations, capital increases and reductions, company transformations, routine amendments to articles of association, transfers of shares or equity interests, universal transfers of assets, and mergers.
- Draft documents in English for foreign recipients, including legal representative decisions and powers of attorney.
- Provide legal information and documents for portfolio companies, including Kbis extracts, minutes extracts, and shareholding certificates.
- Knowledge of DILITRUST tools.

H.W. Lochner has completed its rebrand as Egis following their merger in July 2025, creating a unified US infrastructure business with over 1,500 professionals across 70 offices. The combined organisation offers services across transportation, water, energy and environmental infrastructure. It integrates Lochner's 80-plus years of US infrastructure experience with Egis' global expertise in architecture, consulting, construction engineering, operations and mobility. Globally, Egis operates in 70 countries with approximately 23,500 employees. The company ranks 17th on Engineering News-Record's Top 225 International Design Firms list and seventh in transportation. Lochner, an Egis Group company, has appointed Karen Wiemelt to its Board of Directors. Wiemelt brings over 35 years of leadership experience in the nuclear and energy sectors, with expertise in programme management, environmental remediation and strategic planning. Wiemelt previously served as Senior Vice President and General Manager at Jacobs, where she led the company's global Energy, Security and Technology business unit. In that role, she managed a portfolio exceeding $1.5 billion in annual revenue and over 8,000 employees worldwide. She has also served on numerous industry and corporate boards. Founded in 1944, Lochner merged with Egis Group in July 2025, positioning it as the cornerstone of Egis' US growth strategy. Wiemelt holds a Bachelor of Science degree in Chemical Engineering from the Colorado School of Mines.
