Requirements
  • Bachelor’s degree.
  • Minimum 7 years prior experience in a client-facing and/or accounting-related role.
  • Extensive knowledge of hedge fund investor and accounting concepts, including offshore class/series accounting, partnership accounting, allocation of new issues, accounting for complex management and incentive fee terms such as hurdle rates, offshore fee deferrals, and side-pocket accounting.
  • Strong knowledge of United States generally accepted accounting principles (GAAP).
  • Experience in GAAP financial statement preparation, including a strong understanding of hedge fund structures such as master-feeder, mini-master, and fund-of-funds.
  • Strong team and interpersonal skills.
  • Strong communication, accounting, industry, and relationship management skills.
Responsibilities
  • Manage approximately 1–5 client relationships.
  • Cooperate with the firm’s offshore operations and clients to resolve daily trade and accounting breaks.
  • Prepare and review monthly account-closing procedures and ensure compliance with established accounting procedures and controls.
  • Ensure all fund expenses are accrued in a timely manner and in accordance with GAAP.
  • Perform monthly master-feeder accounting allocations.
  • Prepare and review investor allocations.
  • Prepare and review accounting journal entries related to standard accruals, management and incentive fees calculated in accordance with fund documents, deferred compensation payables, derivative contract financing, and broker financing.
  • Ensure monthly valuations are reviewed and approved before distribution to clients and reviewed and approved by clients before distribution to investors.
  • Review key legal fund offering documents and identify possible accounting or administrative implementation issues.
  • Assist client conversion teams with new client setup and accounting conversion implementation.
  • Identify and implement solutions to accounting, operations, and investor-service problems.
  • Prepare and review position and cash reconciliations between clients and their custodians.
  • Coordinate year-end audits with clients and independent auditors.
  • Prepare and review draft annual financial statements.
Desired Qualifications
  • Certified Public Accountant (CPA) credential.
  • Prior experience with a hedge fund.
  • Sarbanes-Oxley 404-related experience or experience in Statement on Standards for Attestation Engagements 16 (SSAE 16) preparation.
  • Tax knowledge and experience in tax return preparation.
  • Knowledge of International Financial Reporting Standards (IFRS).

Capital One completes $1.7B senior notes offering in two tranches maturing 2032 and 2037

Capital One Financial has completed a €1.5 billion public offering of fixed-to-floating rate senior notes. The offering consists of two tranches maturing in 2032 and 2037, with coupons of 4.326% and 4.832% respectively. The notes were sold through an underwriting syndicate including Barclays Bank, Deutsche Bank, Goldman Sachs, Morgan Stanley and Capital One Securities. They were issued under existing senior indenture arrangements and registered under the Securities Act of 1933. Capital One entered into a paying agency agreement with The Bank of New York Mellon's London branch to administer payments on the euro-denominated securities. The transaction provides Capital One with continued access to international capital markets and diversifies its funding base through long-dated euro senior notes.

Disc Medicine prices upsized $137M public offering at $49 per share

Disc Medicine, a clinical-stage biopharmaceutical company focused on treatments for hematologic diseases, has priced an upsized public offering of common stock and pre-funded warrants. The company is selling 2,595,919 shares of common stock at $49.00 per share and pre-funded warrants to purchase 204,081 shares at $48.9999 per warrant. The offering is expected to generate gross proceeds of $137.2 million before expenses. Disc has also granted underwriters a 30-day option to purchase an additional 420,000 shares. The offering is scheduled to close on 16 June 2023. Disc intends to use the proceeds to fund research and clinical development of its product candidates, as well as for working capital and general corporate purposes. First Citizens BancShares raises $300M in 7.5% perpetual preferred stock

First Citizens BancShares has raised $300 million through a public offering of perpetual preferred stock. The bank issued 300,000 depositary shares at $1,000 each, with net proceeds of approximately $297 million after underwriting costs. The Series F preferred stock pays a fixed 7.5% annual dividend until September 2031, after which it converts to a floating rate tied to the five-year Treasury rate plus 2.894%. The stock is perpetual and non-cumulative, with no required redemption date. The offering adds $300 million in Tier 1 capital but creates a senior claim ahead of common shareholders on dividends and liquidation. If First Citizens misses a full quarterly dividend, it generally cannot pay dividends on or buy back common stock during the next period. The underwriting syndicate included Morgan Stanley, BofA Securities, J.P. Morgan Securities, and Wells Fargo Securities as lead bookrunners.
