Opportunity & Impact
Redox is seeking a highly skilled and experienced General Counsel to join our executive team and lead our legal and compliance departments. This role is critical in shaping our legal strategy and ensuring that our business operations align with all regulatory requirements and legal standards.
The General Counsel will serve as the primary legal advisor to the CEO, Board of Directors, and executive team, overseeing the legal affairs of the company. They will be responsible for managing the company’s legal risk, ensuring compliance with applicable laws and regulations, and providing strategic guidance on all legal matters. This role requires a strategic thinker with extensive experience in corporate law, strong leadership skills, and the ability to effectively communicate complex legal concepts to non-legal stakeholders.
Responsibilities
- Strategic Leadership: Develop and implement the company’s legal strategy in alignment with business objectives. Advise the CEO and executive team on key legal and regulatory issues impacting the company. Represent the company in legal proceedings and negotiations. Lead mergers, acquisitions, strategic transactions, and other large and small scale transactions.
- Compliance: Ensure compliance with all relevant laws, regulations, and industry standards. Oversee internal policies and procedures to mitigate legal risks. Monitor changes in legislation and regulations that may affect the company’s operations. Partner with Human Resources as needed on internal investigations and other matters. Oversee company certification and audit programs, including HITRUST and SOC2, and manage internal monitoring and audit functions.
- Corporate Governance: Provide legal support to the Board of Directors and its committees. Oversee corporate governance practices and ensure adherence to best practices. Manage the company’s legal documentation, including corporate records and contracts.
- Litigation and Dispute Resolution: Manage and oversee litigation and dispute resolution processes. Develop and implement strategies to handle legal disputes effectively. Coordinate with external legal counsel as needed.
- Contract Management: Review, draft, and negotiate complex contracts and agreements, including direct and indirect sales channels. Provide legal guidance on contractual obligations and risk management. Ensure proper documentation and compliance with contractual terms.
- Intellectual Property Management: Maintain and expand portfolio of company patents.
- Team Leadership: Lead, mentor, and develop a high-performing legal and compliance team. Foster a collaborative and inclusive work environment. Oversee departmental budget and resources.
Required Skills & Experience
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in any of the 48 contiguous states.
- Minimum of 15 years of experience in a legal role, with a strong background in corporate law, litigation, and regulatory compliance including some M&A experience.
- Previous experience in venture or private equity-backed companies.
- Legal generalist, with an excellent sense of operations as well as commercial activities and an appreciation for the interplay between the two.
- Proven experience in managing complex legal issues and leading a legal department.
- Exceptional strategic thinking, problem-solving, and decision-making skills.
- Excellent communication and interpersonal skills.
- Demonstrated ability to work effectively with executive leadership and Board of Directors.
- High level of integrity, professionalism, and ethical standards.
Preferred Skills & Experience
- Experience in the healthcare data / data interoperability space is highly desirable.
