Requirements
  • Five or more years supporting legal work in-house or at a firm, including contracts, corporate records, and deal coordination.
  • Excellent organization, writing, and ability to run a process end-to-end.
  • Ability to read agreements, spot issues, and escalate appropriately.
  • Juris Doctor, with ideally experience practicing in-house and/or at a firm.
  • Hands-on experience negotiating and managing commercial contracts.
  • Strong operational instinct to build systems, not just redlines.
  • Ability to close loops and ensure open items are completed.
  • Ability to prioritize and distinguish substantive risk from legal noise.
  • Ability to communicate tradeoffs in plain English and recommend a path.
  • Comfort working directly with executives and cross-functional partners.
Responsibilities
  • Run intake, drafting, review, negotiation support, signature, and filing for NDAs, vendor agreements, consulting agreements, partnership and pilot agreements, master services agreements and statements of work, and basic data and security addenda.
  • Maintain contract templates and fallback positions aligned with the company’s risk tolerance.
  • Drive deal timelines, follow up with reviewers, and decide what to escalate.
  • Coordinate reviews of government and prime/subcontract agreements and flowdowns with outside counsel as needed.
  • Track key contract obligations and deliverables, including reporting requirements, security requirements, data handling, and publication restrictions.
  • Help internal teams understand contractual obligations in plain English.
  • Maintain invention assignment and contractor intellectual property paperwork and clean records.
  • Coordinate with outside counsel on patent filings or trademark basics when needed.
  • Partner with engineering on open-source software hygiene, including tracking, approvals, and basic notices.
  • Own offer letter and contractor agreement workflows, confidentiality and invention assignment, and separation paperwork coordination with counsel.
  • Route sensitive issues to counsel, document them, and protect confidentiality.
  • Own recurring operational workflows such as vendor onboarding, insurance renewal coordination, corporate filing coordination, document retention, signature authority, and related tooling administration.
  • Build trackers, playbooks, checklists, and a clean source of truth.
  • Manage outside counsel intake, scope, first drafts, and budget discipline, and translate legal advice into actionable next steps.
  • Establish a contract intake and approval process outside email.
  • Put core templates in place, including an NDA, consulting agreement, basic master services agreement and statement of work, vendor agreement, and pilot or proof-of-concept agreement.
  • Create an obligations tracker for key contracts and renewal dates.
  • Clarify outside counsel relationships and escalation rules.
  • Reduce founders’ routine legal and operations workload.
Desired Qualifications
  • Government contracting exposure, including Federal Acquisition Regulation and Defense Federal Acquisition Regulation Supplement basics, prime/subcontractor agreements, and flowdowns.
  • Familiarity with export controls and knowing when to raise an issue and whom to contact.
  • Intellectual property workflow experience, including invention intake, patent counsel coordination, and open-source software compliance basics.
  • Startup experience working with speed, ambiguity, and messy inputs.
