THE ROLE
Zeta Global is seeking an experienced, dynamic and strategic Director, Executive Compensation. The ideal candidate must possess the ability to analyze data and to utilize that data to communicate findings and influence decision making at senior executive and Board levels. This role manages executive equity compensation initiatives and programs and develops, implements, and administers executive equity compensation policy and practices, including associated tax planning. In this role, you will have the opportunity to work primarily with senior leadership on executive equity compensation planning and strategy. The right candidate will have the ability to analyze complex problems, multi-task and meet deadlines. The successful candidate is highly collaborative, displays excellent communication skills, both written and verbal, is an active listener and can synthesize different data and viewpoints. This position will play a critical role in developing and implementing strategies around executive equity compensation management. You must also be able to effectively prioritize tasks, handle confidential information with discretion, and think strategically. We are looking for a collaborative and forward-thinking individual who is excited to bring their knowledge and expertise to the team.
The Director will lead and work with teams that direct the planning, development, implementation, and administration of executive equity compensation at Zeta Global. Advises company leadership in equity compensation program matters, making or recommending appropriate decisions consistent with strategic direction. This position will report to EVP Corporate Development & General Counsel.
You will....
- Provide strategic direction to executive equity compensation management for Zeta Global to effectively implement and communicate programs, policies and initiatives that will enable the company to attract, retain and motivate top talent.
- Monitor existing executive compensation practices, policies, guidelines and procedures and provide regular updates to senior leadership.
- Provide high touch, management and advice to c-level executives to manage their equity and tax considerations.
- Support executive’s compensation, tax and equity decisions to optimize for individual goals
- Regularly interface with Zeta’s executive officers on equity compensation strategy and management.
- Responsible for overseeing executive equity compensation events including the earnout and delivery of performance-based and time-vested restricted stock awards.
- Update on progress of quarterly results and performance-based RSUs.
- Ensure compliance with all relevant regulations, including SEC reporting and disclosure requirements.
- Prepare materials for the Compensation Committee of the Board of Directors, including executive compensation proposals and analysis.
- Ensure adherence to corporate governance standards and regulatory requirements, including working with Legal to complete the annual proxy.
- Stay informed about trends, regulatory changes, and best practices in executive equity compensation.
- Develop clear and effective communication strategies for executive equity compensation programs, including with respect to tax and accounting implications.
- Serve as a subject matter expert to executives, HR partners, and the Compensation Committee.
- Provide guidance and support to HR and finance teams on compensation-related matters.
- Provide senior leadership with ongoing thought leadership, insight, and consultation.
You have...
- 5+ years of equity and executive compensation experience
- 5+ years of tax/estate planning experience associated with equity awards (restricted stock awards, restricted stock units, performance stock units, etc.)
- Extensive experience in executive compensation, with a solid understanding of compensation principles and best practices. Exceptional analytical skills and the ability to interpret complex financial data.
- Excellent communication and presentation skills, with the ability to influence and build relationships with senior leaders and Board members.
- Knowledge of all federal, state, and local regulations and compliance requirements and governance standards related to executive compensation.
- Demonstrated ability to collaborate effectively with cross-functional teams, including HR, legal and finance.
- Strong business acumen and creative thinking to help design and position solutions as value-add.
- Understanding of equity-based compensation vehicles with regards to tax and accounting implications.
- Excellent presence, outstanding communication and interpersonal skills to effectively interact with Executive management and all levels of employees.
- Strong influencing, negotiating and collaboration skills.
- High level of integrity, discretion and professionalism in handling confidential information.

COMPENSATION RANGE
The compensation range for this role is $150,000.00 - $200,000.00, depending on experience.
