The bonds will bear an annual interest rate between 0.50% and 0.75%, with a conversion premium of 20% over a reference share price. Concurrently, Veolia will purchase cash-settled call options to hedge its exposure.
The company intends to use proceeds for general corporate purposes, including purchasing the options. BNP Paribas and Natixis serve as joint global coordinators, with BofA Securities, Citigroup and Morgan Stanley as joint bookrunners. Veolia plans to list the bonds on Euronext Access within 30 days.

Natixis served as joint global coordinator and joint bookrunner for the transaction, marking the firm's fourth convertible bond of the year. The net proceeds will refinance an outstanding convertible bond due in 2021.
The issuance demonstrates investor confidence in Veolia's financial stability following its integration of Suez and ongoing business portfolio transformation. The transaction supports the company's GreenUp strategic plan focused on sustainable growth and ecological transformation.
