Requirements
  • Located in North America.
  • Hold a bachelor's degree or equivalent.
  • A professional with 4+ years of compliance program management, legal, transactional paralegal, governance, audit, or equivalent experience.
  • Experienced in reviewing, drafting, and negotiating standard commercial contracts (SaaS experience is a plus).
  • An excellent communicator and able to partner well with colleagues on the finance, legal, and people teams.

Responsibilities
  • Assist the legal team in delivering high-quality governance support across a wide range of matters to assist the business in meeting its global compliance obligations and achieving its various global entity objectives.
  • Develop new and enhance existing governance policies, ensuring alignment with regulatory requirements and industry best practices.
  • Support the entire lifecycle of Board and Committee meetings, covering scheduling, coordinating and reviewing inputs, crafting agendas, and efficiently managing action items.
  • Drive initiatives to streamline and enhance governance processes, fostering transparency and accountability within the organization.
  • Oversee and support international subsidiary governance matters.
  • Support corporate transactions, such as M&A and financings, through partnership with the broader corporate legal team and cross-functionally with the finance, corporate development and HR teams.
  • Assist in the negotiation of NDAs, Master Service Agreements, and various vendor agreements as needed.
  • Support the contracting process throughout the entire contract lifecycle from initial request to execution.
  • Support the improvement of playbooks and form templates.
  • Provide great client service and have the ability to escalate appropriately where required.
